Access, Credentials and Security

Client will provide Provider with necessary account credentials and access to assets required to perform the Services. Provider shall implement reasonable technical and organizational measures to protect Client data and shall notify Client of any unauthorized access within 48 hours of discovery.

Termination, Notice and Kill Fee

Either party may terminate this Agreement for material breach that is not cured within the cure period. Termination by Client without cause prior to delivery of final deliverables will be subject to the kill fee set forth below.

Client retains all right, title and interest in pre-existing trademarks, copyrights and content. Provider is granted a limited, non-exclusive, non-transferable license to host, display and distribute Client Materials solely for the purposes of performing the Services for the Term and Territory specified below.

Provider shall comply with all applicable advertising and sponsorship disclosure laws and regulations. Provider shall ensure that hosted content includes clear and conspicuous disclosures of any material connections between Client and any influencer, endorsers or third parties.
