MARKETING INFLUENCER CAMPAIGN AGREEMENT

This Marketing Influencer Campaign Agreement (the Agreement) is entered into as of (Effective Date), by and between the Brand/Client and the Influencer/Creator identified below. The parties agree as follows.

The Influencer will produce the following deliverables in accordance with the schedule and specifications set forth below. All deliverables must comply with the acceptance criteria set by the Brand. Specific creative briefs and technical specifications are incorporated by reference when attached or completed in the campaign brief.

COMPENSATION & PAYMENT

Brand agrees to pay Influencer the total compensation specified below in consideration for the Deliverables. Payment is conditioned upon compliance with the Terms and timely delivery of acceptable Deliverables.

Reimbursable third-party expenses will be reimbursed only if pre-approved in writing by Brand and supported by receipts. Maximum reimbursable amount: .

USAGE RIGHTS & INTELLECTUAL PROPERTY

Influencer hereby grants Brand a non-exclusive/non-transferable license to use the Deliverables as set forth below. Unless otherwise agreed in writing, the parties' ownership and license rights are as follows.


FTC DISCLOSURE COMPLIANCE

Influencer represents and covenants that Influencer will clearly and conspicuously disclose the material connection between Brand and Influencer in each paid or sponsored post or communication in a manner appropriate to the channel and consistent with applicable disclosure requirements.

EXCLUSIVITY & COMPETITION

During the Campaign Period, Influencer shall not promote or publish content for direct competitors of Brand within the scope described below without prior written consent of Brand. Scope:

TERMINATION

Either party may terminate this Agreement for convenience upon written notice to the other party provided days' prior notice. Brand may immediately terminate for material breach. In the event of termination by Brand for convenience after work has commenced, Influencer shall be entitled to payment for Deliverables completed and a kill fee of of the remaining scheduled compensation.

REPRESENTATIONS, WARRANTIES & COVENANTS

Each party represents that it has the full power and authority to enter into this Agreement. Influencer warrants that content will be original, not infringe third-party rights, and will comply with applicable laws and platform terms. Influencer covenants to obtain all necessary releases for third-party appearances, music, or other licensed materials used in Deliverables.

INDEMNIFICATION & LIMITATION OF LIABILITY

Each party agrees to indemnify and hold harmless the other party from any claims arising out of breach of representations, warranties, or the party's gross negligence or willful misconduct. Except for payment obligations and indemnification for intellectual property infringement, neither party shall be liable to the other for consequential, indirect or punitive damages.

CONFIDENTIALITY

The parties will maintain confidentiality of non-public information exchanged in connection with this Agreement and use such information solely to perform obligations hereunder, except as required by law. Confidentiality obligations survive termination for a period of two (2) years.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties and supersedes prior discussions. Any amendment must be in writing and executed by authorized representatives of both parties. Governing law: .
