Termination

Either party may terminate this Agreement for convenience upon prior written notice to the other party as set forth below. Termination for cause is permitted where a material breach remains uncured after the cure period.

Confidentiality

Each party shall maintain in confidence all non-public information received from the other party that is marked confidential or that reasonably should be understood to be confidential. The obligations shall survive termination for the period set forth below.

Representations, Indemnity & Liability

Each party represents that it has the full right and authority to enter into this Agreement. Agency/Creator warrants that Deliverables will not infringe third-party rights and will comply with applicable laws. Agency/Creator shall indemnify Brand for claims arising from Agency/Creator's breach, negligence, or infringement. Except for willful misconduct or indemnity obligations, neither party's aggregate liability shall exceed the total fees paid under this Agreement.

General Provisions

This document constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, and understandings. Any amendment must be in writing and executed by authorized representatives of both parties. If any provision is held unenforceable, the remainder shall remain in effect.
