MARKETING LABEL COPY AGREEMENT

This Marketing Label Copy Agreement ("Agreement") is entered into as of Effective Date: by and between:

PARTIES

RECITALS

WHEREAS, Client develops, markets, and sells consumer products and requires marketing label copy and related content for packaging, point-of-sale materials, and digital display (the "Label Copy"); and

WHEREAS, Service Provider possesses expertise in preparing compliant marketing label copy, brand claims, ingredient statements, directions for use, and warning language suitable for Client's products; and

WHEREAS, Client desires to engage Service Provider to prepare, revise, and deliver Label Copy under the terms and conditions set forth in this Agreement.

SCOPE OF WORK

Service Provider will produce marketing label copy and related textual deliverables as described below. Deliverables shall conform to Client brand guidelines and applicable regulatory requirements where the product is marketed.

Typical label elements to be supplied (select and specify in the Detailed Scope above): Product/Brand name; Net quantity statement; Ingredient declaration; Directions for use; Mandatory warnings; Marketing claims and substantiation notes; Font and color specifications; Barcode/UPC placement; Version and revision history.

DELIVERABLES, APPROVALS, AND REVISIONS

Client shall provide consolidated written feedback within the Approval period. Absent timely written objections, deliverables will be deemed accepted. Additional revisions beyond the included rounds will be billed in accordance with Payment Terms.

PAYMENT TERMS

Invoices are due as described in the Payment Schedule. Client is responsible for all reasonable collection costs, including attorney fees, for overdue amounts.

TERM AND TERMINATION

This Agreement commences on Start Date: and will continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after written notice. Termination shall not relieve Client of obligation to pay for work performed and accepted prior to termination.

CONFIDENTIALITY

Each party shall maintain as confidential all non-public business, technical, and commercial information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Confidential Information excludes information that is: (a) already known to the receiving party without restriction; (b) becomes generally known to the public through no fault of the receiving party; (c) rightfully obtained from a third party; or (d) independently developed without use of the disclosing party's Confidential Information.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, upon full payment Service Provider assigns to Client all right, title and interest in the final approved Label Copy solely for the uses described in this Agreement. Service Provider reserves the right to use non-confidential elements in its portfolio and for marketing purposes. Client represents that it will secure all necessary rights for trademarks, product names, and third-party content supplied to Service Provider.

COMPLIANCE, REPRESENTATIONS AND INDEMNITY

Service Provider represents that to the best of its knowledge the Label Copy will not knowingly contain false or misleading claims. Client is solely responsible for ensuring that final label copy complies with applicable statutes, regulations, and industry-specific labeling requirements. Client shall indemnify and hold Service Provider harmless from any claims, liabilities, losses, or expenses arising from Client-provided content, inaccurate product information, or Client-directed claims.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT; AMENDMENTS

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior discussions, proposals, and understandings. Any amendment or modification must be in a writing signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the other's prior written consent, except to an affiliate or in connection with a merger or sale of substantially all assets.

Notices under this Agreement shall be delivered to the addresses set forth above or such other address as a party may specify in writing.
