Brand represents it has authority to use any third-party materials provided to Agency and will indemnify Agency for Brand-provided materials.

Limitation of Liability & Remedies

Except for willful misconduct or indemnification obligations, neither party's aggregate liability under this Agreement will exceed the total amounts paid by Brand to Agency under this Agreement. Consequential damages and lost profits are disclaimed to the fullest extent permitted by law.

Confidentiality

Each party will maintain in confidence all non-public information disclosed by the other party and will use such information solely to perform obligations under this Agreement. Confidentiality obligations survive termination for a period of three (3) years unless otherwise stated herein.
