MARKETING LANDING PAGE CONTRACT

This Marketing Landing Page Contract (the "Agreement") is made effective as of Effective Date: by and between Client Name: and Contractor Name: .

RECITALS

WHEREAS, Client desires to engage Contractor to design, develop and deliver a marketing landing page and related digital assets to generate leads, capture contact information, and drive campaign conversions under the terms set forth in this Agreement; and

WHEREAS, Contractor represents that it has the necessary expertise, personnel, and experience to provide landing page design, front-end development, integration with Client systems, and related services (collectively, the "Services"); and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the Services and deliverables.

SCOPE OF WORK

Contractor shall provide the Services described below and in any attached statements of work incorporated herein. Deliverables include a production-ready landing page, responsive layout for desktop and mobile, lead capture form integration, basic on-page analytics setup, and delivery of source files where applicable. Specific deliverables, functionality and acceptance criteria are:

TIMELINE AND MILESTONES

The parties agree to the following milestones and delivery schedule. Time is of the essence for completion of milestones set forth below.

PAYMENT TERMS

Client shall pay Contractor for the Services in accordance with the amounts and schedule set forth below. All fees are exclusive of applicable taxes unless otherwise stated.

Late payments shall accrue interest at the rate of on the outstanding balance, plus reasonable costs of collection, including attorneys' fees.

INTELLECTUAL PROPERTY AND LICENSES

Upon full payment of all amounts due under this Agreement, Contractor assigns to Client all right, title and interest in the final deliverables created specifically for Client under this Agreement, excluding Contractor's pre-existing materials and open-source components. Contractor hereby grants Client a perpetual, worldwide, royalty-free license to use any such pre-existing Contractor materials embedded in the deliverables to the extent necessary for Client's use of the deliverables.

WARRANTIES; ACCEPTANCE

Contractor warrants that the Services will be performed in a professional manner consistent with industry standards. Contractor does not warrant that the deliverables will be error-free or that they will achieve specific campaign results. Client shall have an agreed acceptance period of days after delivery to identify non-conforming work. Contractor shall remedy any non-conformance identified during the acceptance period at no additional cost.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information disclosed by the other party that is identified as confidential or that a reasonable person would understand to be confidential under the circumstances. Confidential information shall be used only for performance under this Agreement and shall not be disclosed to third parties except to those employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein. Confidentiality obligations survive termination for a period of three (3) years.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section. Either party may terminate this Agreement for convenience upon delivering written notice to the other party at least days prior to the effective termination date. Termination for material breach may be immediate if the breaching party fails to cure within ten (10) days after written notice. Upon termination, Client shall pay Contractor for all Services performed and non-cancellable commitments incurred through the effective date of termination.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other party from third-party claims arising out of its breach of this Agreement, gross negligence or willful misconduct. Except for liability arising from a party's indemnification obligations or willful misconduct, neither party's aggregate liability under this Agreement shall exceed the total fees paid by Client to Contractor under this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation between designated representatives. If the parties cannot resolve a dispute within thirty (30) days, the dispute may be resolved in the courts located in the selected jurisdiction.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or statements of work executed by the parties, constitutes the entire agreement between Client and Contractor with respect to its subject matter and supersedes all prior and contemporaneous agreements and understandings. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information set forth below or to such other address as a party may designate by written notice in accordance with this Section.
