Additional approved out-of-pocket expenses will be reimbursed upon submission of receipts and prior written approval by Brand. Such expenses shall be billed monthly and paid within days of invoice.

Approvals and Revisions

Brand shall have from delivery to approve or request reasonable revisions. Creator will provide up to rounds of revisions per deliverable as part of the Fee. Additional revisions will be billed at a rate of $ per hour.

Usage Rights and Intellectual Property

Upon full payment of the Total Fee, Creator grants Brand a non-exclusive / exclusive (select one) Non-Exclusive Exclusive license to use, reproduce, publicly display, distribute, and create derivative works of the deliverables worldwide for a term of .

All underlying creator pre-existing materials and third-party materials remain the property of Creator or the respective third party; Creator warrants it has sufficient rights to grant the license set forth above. Brand shall own final deliverables to the extent paid for and documented in writing, subject to Creator's residual, moral rights, and retained portfolio usage as set forth below.

FTC Disclosure Compliance

Creator shall comply with all applicable advertising and disclosure laws and regulations, including clear and conspicuous disclosures of material connections and sponsored content. Creator must include required sponsor disclosures in each public post associated with this Campaign and retain records evidencing compliance.

Exclusivity

Creator shall not enter into paid promotional agreements with direct competitors of Brand defined as: during the exclusivity period of following Launch Date, unless Brand provides prior written consent.

Confidentiality

Both parties agree to maintain in confidence all non-public information disclosed in connection with this Agreement. Confidential information excludes information that is publicly known or independently developed without use of confidential information. The obligations survive termination for a period of .

Warranties, Indemnification, and Liability

Creator represents and warrants that: (a) deliverables are original and do not infringe third-party rights; (b) Creator has full right to grant the rights licensed; and (c) any third-party materials are properly licensed. Brand represents that it has authority to authorize uses of its trademarks and marks provided to Creator.

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising from a breach of the indemnifying party's representations, willful misconduct, or gross negligence. Neither party shall be liable for incidental or consequential damages. Aggregate liability of either party for any claim arising under or related to this Agreement shall not exceed the total fees paid to Creator under this Agreement.

Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. If Brand terminates without cause after Creator has commenced work, Brand agrees to pay a kill fee equal to of the unbilled portion of the Fee plus approved expenses.
