NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Usage Rights & Intellectual Property

Unless otherwise agreed in writing, Agency hereby grants Client a non-exclusive, worldwide, royalty-free license to use the final Deliverables for Client's marketing and sales purposes for the duration specified below. Ownership of pre-existing Agency materials and third-party tools remains with Agency or the respective third parties.

FTC Disclosure Compliance

Agency and Client agree that all paid, sponsored, or materially supported content shall include clear and conspicuous disclosures in compliance with applicable advertising and consumer protection laws. Agency will provide disclosure language when required and will implement disclosures in creative and delivery to ensure transparency to consumers.

Agency certifies it will include required disclosures in all placements.   Client certifies it will approve any disclosure language prior to publication.

Exclusivity

Client may designate the Campaign as exclusive with respect to specified product lines or verticals. If exclusivity is selected, Client agrees to pay the exclusivity fee described below.

Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the cure period. Client may terminate for convenience upon written notice to Agency, subject to payment of the Kill Fee set forth above.

Confidentiality

Each party will maintain the confidentiality of Confidential Information received from the other party and will use such information only for the performance of this Agreement. Confidential Information does not include information in the public domain through no fault of the receiving party.

Indemnification & Liability

Each party agrees to indemnify and hold harmless the other party from claims arising out of its breach of this Agreement, gross negligence, or willful misconduct. Except for claims arising from indemnification obligations or willful misconduct, neither party's liability shall exceed the total fees paid under this Agreement during the twelve (12) months prior to the claim.

Miscellaneous

Entire Agreement: This Agreement, including any attached schedules and accepted Statements of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment must be in writing and signed by both parties.
