FTC Disclosure Compliance

Agency represents and warrants that all promotional content and communications used to solicit leads will include clear and conspicuous disclosure of the commercial relationship between Brand and Agency where required by applicable advertising regulations. Agency shall provide sample disclosures for Brand approval prior to live deployment.

Intellectual Property & Use of Leads

Unless otherwise agreed in writing, Brand shall own all rights, title and interest in and to leads and lead data generated under this Agreement. Agency hereby assigns to Brand all right, title and interest in any lead data delivered to Brand. Agency retains ownership of Campaign creative and methodologies except as expressly assigned below.

Data Protection & Privacy

Agency will collect, process and transfer lead data in compliance with applicable data protection laws. Agency will not sell lead data and will provide Brand with copies of signed consents upon request. Agency agrees to implement commercial reasonable administrative, technical and physical safeguards to protect lead data.

Termination

This Agreement may be terminated by either party upon written notice to the other party as described below.

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this Program and shall not disclose such information except as permitted under this Agreement.

Representations, Indemnity & Limitation of Liability

Each party represents that it has the authority to enter this Agreement. Agency will defend, indemnify and hold harmless Brand from claims arising out of Agency's breach of representations, unauthorized use of third-party IP, or unlawful processing of personal data. Brand will indemnify Agency for Brand's use of the leads that is inconsistent with the terms of this Agreement.

The parties' cumulative liability to each other for any claim arising out of this Agreement shall be limited to the greater of (a) amounts actually paid under the Agreement in the prior six months or (b) .

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. The parties shall first attempt to resolve disputes through good faith negotiation, followed by mediation, and if unresolved, binding arbitration in the agreed venue.

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or such other address designated in writing by a party.

Miscellaneous

This Agreement constitutes the entire agreement between the parties with respect to the Program and supersedes prior agreements. Amendments must be in writing and signed by authorized representatives of both parties. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or successor in connection with a merger or sale of substantially all assets.
