Exclusivity

If exclusivity is selected, the parties agree on a compensation premium and non-compete terms as set out in the Commercial Schedule.

Data Protection & Privacy

Agency warrants that all leads are collected with lawful consent and that Brand's use of lead contact details will comply with applicable privacy laws and the parties' separate data processing agreement, where applicable.

Intellectual Property

Agency grants Brand a non-exclusive, worldwide license to use leads and campaign creative for the purposes set forth herein for the term specified below.

FTC Disclosure Compliance

Agency shall include clear, conspicuous disclosures in paid or sponsored content as required by consumer protection regulations and industry guidelines. Agency confirms: Agency will include required disclosures in each lead-generating placement.

Term, Termination & Cure

Term: This Template is effective as of the first date of lead delivery and continues until the Campaign End Date unless earlier terminated in accordance with this section.

Representations, Indemnity & Liability

Each party represents that it has the authority to enter this agreement. Agency represents that leads are collected in compliance with applicable law. Each party agrees to indemnify the other for third-party claims arising from its breach or gross negligence.
