MARKETING LINK INSERTS AGREEMENT

Parties and Effective Date

This Marketing Link Inserts Agreement (the "Agreement") is entered into as of by and between Client Name: (the "Brand") and Agency/Creator Name: (the "Agency").

Recitals and Definitions

The Agency provides link insertion services whereby links to Brand-designated destinations are inserted and maintained within existing or new content on third-party or Agency-controlled pages (each, a "Placement"). Where used in this Agreement, "Link" means the hyperlink specified by the Brand, including target URL and anchor text. "Host Page" means the specific web page or content item where a Placement is made.

The Agency will provide the following Deliverables in accordance with the Schedule below. Specific Placements and Host Pages shall be documented in the Placement Log referenced in this Agreement.

Link Specifications and Maintenance

Agency will implement Links with the following specifications. Brand must provide final target URLs and required anchor text prior to the first Placement.

The Agency agrees to monitor Placements for a maintenance period of months following Placement to ensure Links remain live. If a Link is removed through no fault of the Brand, Agency will use commercially reasonable efforts to restore or replace the Placement within 30 days. Replacement obligations and any associated fees are detailed in Section 7.

Compensation and Payment Terms

Unpaid amounts shall accrue interest at a rate of or the maximum allowed by law, whichever is less. Brand shall also reimburse Agency for reasonable collection costs.

Usage Rights and Intellectual Property

Brand retains ownership of its trademarks and of all URLs and destination content. Agency grants Brand a non-exclusive, worldwide right to reproduce any unique creative supplied by Agency for Brand review purposes. Unless otherwise agreed in writing, Agency retains ownership of Agency-originated content and any Host Page content created by Agency.

Brand may request modification of anchor text or target URL. Agency will implement modifications within a commercially reasonable time frame. Agency may charge a change fee of per modification if not covered by original scope.

FTC Disclosure and Advertising Compliance

Agency shall ensure that any Placement that constitutes an advertisement, endorsement, or sponsored content includes a clear and conspicuous disclosure in language appropriate to the medium. Disclosures must not be misleading and shall comply with applicable advertising and consumer protection laws. Brand shall approve disclosure language prior to initial Publication if Brand reasonably requests review.

Exclusivity and Conflicts

Unless Brand pays for exclusivity as set forth below, Agency may provide promotional services for other clients, provided such services do not use Brand trademarks or confidential materials. If exclusivity is selected, Agency shall not accept competing link-insertion assignments for the specified product category during the exclusivity term.

Termination; Kill Fee

Either party may terminate this Agreement for convenience upon written notice of days. Termination for material breach is effective on the breaching party's failure to cure within 15 days following written notice. If Brand terminates prior to completion of agreed Placements, Brand shall pay a kill fee equal to or the portion of fees earned for completed work, whichever is greater.

Representations, Warranties, and Indemnities

Each party represents that it has full authority to enter into this Agreement and that performance will not violate any contractual or legal obligation. Agency warrants that Placements will not contain malicious code and will comply with industry standards. Agency shall indemnify Brand from third-party claims arising from Agency's gross negligence, willful misconduct, or breach of this Agreement. Brand shall indemnify Agency for claims arising from Brand-provided content or instructions that infringe third-party rights.

Limitation of Liability

Except for indemnification obligations or willful misconduct, neither party shall be liable for consequential, incidental, or punitive damages. Aggregate liability of either party for claims arising under this Agreement shall not exceed the total fees paid by Brand to Agency under this Agreement during the 12 months preceding the claim.

Reporting, Verification, and Audit Rights

Brand may request verification of live Placements and may audit the Placement Log once per contract year upon reasonable notice. If an audit reveals material underperformance attributable to Agency, Agency shall remediate at its expense.

Confidentiality and Non-Disclosure

Each party shall maintain confidential information of the other in strict confidence for a period of years following termination and shall not disclose such information except as required by law.

Governing Law and Notices

This Agreement shall be governed by the laws of the jurisdiction specified below without regard to conflict-of-law principles.

Miscellaneous

Amendments must be in writing signed by both parties. If any provision is held invalid, the remainder will remain in effect. The parties acknowledge that electronic signatures shall be valid and enforceable.
