Grant: Upon full payment, Agency/Creator grants Brand/Client a non-exclusive / exclusive (select one) license to use the Deliverables as described below:

Ownership: Pre-existing materials and third-party content remain the property of their respective owners. New Deliverables created by Agency/Creator specifically for Brand/Client under this Agreement shall be owned by subject to the license grant above.

FTC DISCLOSURE & AD COMPLIANCE

Agency/Creator shall ensure all sponsored content complies with applicable advertising and disclosure obligations. Agency/Creator affirms that each piece of promotional content will include a clear and conspicuous disclosure of the commercial relationship where required.

EXCLUSIVITY

Either party may terminate this Agreement with days' prior written notice. Termination for material breach is effective upon written notice if the breach is not cured within days.

On termination, Brand/Client will pay Agency/Creator for all work performed and non-cancellable commitments incurred prior to termination. The parties agree the kill fee is as specified in the Compensation section.

WARRANTIES, INDEMNIFICATION AND LIABILITY

Each party represents and warrants that it has the full right and authority to enter into this Agreement and to perform its obligations. Agency/Creator warrants that Deliverables will not knowingly infringe third-party intellectual property rights.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed in connection with the performance of this Agreement and shall not use such information except to perform its obligations hereunder. Confidentiality obligations survive termination for a period of years.

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. The parties agree to attempt mediation prior to initiating litigation.

MISCELLANEOUS

Amendments must be in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
