MARKETING LOGO CONTRACT

Parties

This Marketing Logo Contract ("Agreement") is entered into between Brand/Client: with principal address and Designer/Creator: with principal address .

Recitals

WHEREAS Brand/Client desires to procure logo artwork and related branding assets for use in a marketing campaign; and WHEREAS Designer/Creator is engaged in providing logo design and related creative services; the parties agree to the terms set forth in this Agreement.

Designer/Creator shall deliver the following items in accordance with the specifications and delivery schedule below. Each deliverable will include layered source files where applicable and a usage-ready export.

Brand/Client shall pay Designer/Creator the fees and expenses set forth below in consideration for the services and deliverables.

Usage Rights, License & Territory

Upon full payment of all amounts due under this Agreement, Designer/Creator assigns and transfers to Brand/Client the exclusive, worldwide rights to use, reproduce, publicly display, and distribute the final logo deliverables as described herein for the Permitted Uses. Designer/Creator retains no ownership in the final, paid-for deliverables except as expressly set forth below.

Intellectual Property & Portfolio Rights

Upon receipt of full payment, Designer/Creator assigns to Brand/Client all right, title and interest in and to the final deliverables, including copyrights, subject to third-party materials and pre-existing rights. Designer/Creator retains the right to display the deliverables in portfolios and self-promotional materials unless Brand/Client checks the box below to prohibit such use.

Warranties, Representations & Indemnity

Designer/Creator represents and warrants that the deliverables will be original to Designer/Creator and will not infringe any third-party rights. Brand/Client represents and warrants that any materials provided to Designer/Creator do not infringe third-party rights. Each party shall indemnify and hold the other harmless from losses arising out of breach of the foregoing representations and warranties, subject to the indemnitor's written notice and control of defense.

FTC Disclosure Compliance

If Designer/Creator will publish sponsored content or promotional posts that use the logo in paid social or influencer contexts, Designer/Creator shall comply with applicable disclosure requirements and clearly and conspicuously disclose the material connection between Designer/Creator and Brand/Client in each such publication.

Termination

Either party may terminate this Agreement for convenience upon written notice to the other party. Termination becomes effective on the date specified in the notice. Upon termination, Brand/Client shall pay Designer/Creator for work performed through the effective date of termination and any non-cancellable commitments. If Brand/Client terminates without cause after work has commenced, Brand/Client will owe the stated kill fee.

Confidentiality

Each party shall keep confidential the other's confidential information and shall not disclose such information except as required for performance of this Agreement or as required by law. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement.

Limitation of Liability & Remedies

Except for indemnification obligations and willful misconduct, neither party shall be liable to the other for consequential, incidental, indirect, or punitive damages. The parties' aggregate liability for any claim arising under this Agreement shall not exceed the total fees paid to Designer/Creator under this Agreement.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. The parties shall attempt in good faith to resolve disputes amicably prior to pursuing litigation.

Miscellaneous

Amendments to this Agreement must be in writing and signed by authorized representatives of both parties. If any provision is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
