This Agreement is entered into between Client and Designer for the creation, delivery, and licensing or assignment of original logo artwork and associated brand identity assets (the "Deliverables") described below. Client desires to procure logo design services and Designer represents that it has the skill and expertise to provide such services in accordance with the terms below.

INTELLECTUAL PROPERTY & USAGE RIGHTS

Ownership and usage rights are governed as follows. Unless otherwise checked below, Designer grants Client a paid-up, worldwide, transferable license to use the Deliverables for the purposes set out in this Agreement. Assignment of copyrights requires explicit selection and additional consideration.

Excluded Materials: Designer shall identify any third-party materials, stock assets, or fonts incorporated in Deliverables. Client obtains rights only to use such third-party components to the extent permitted by their licenses; Designer will, to the best of its ability, procure licenses that permit Client's intended use or identify replacement options.

CONFIDENTIALITY

WARRANTIES, REPRESENTATIONS & INDEMNITY

Designer warrants that the Deliverables will be original to Designer and will not knowingly infringe the intellectual property rights of third parties. Client represents that it has the right to use any materials it provides to Designer. Each party will indemnify and hold harmless the other from claims arising from its breach of representations or misuse of Deliverables.

LIMITATION OF LIABILITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for indirect, incidental, consequential, or punitive damages. Designer's aggregate liability for any claim relating to this Agreement shall not exceed the total fees paid by Client to Designer under this Agreement.

TERMINATION

Either party may terminate this Agreement for material breach if the breach remains uncured after the notice period specified below. Client may also terminate for convenience upon payment of the kill fee described below.

CHANGE ORDERS

Any material change to scope, timing, or budget must be documented in a written change order signed by both parties. Change orders may adjust fees, milestones, and Deliverable specifications.

COMPLIANCE & DISCLOSURE

Where Deliverables are used in paid placements or influencer-driven marketing, Designer and Client shall ensure compliance with applicable advertising and disclosure laws and guidance, including clear and conspicuous disclosure of material connections where required. Designer will not make misleading claims about the origin or capabilities of Deliverables.

Designer and Client each acknowledge responsibility to disclose material connections and to comply with applicable marketing disclosure obligations.

MISCELLANEOUS

This Agreement constitutes the entire understanding between the parties and supersedes prior negotiations. Amendments must be in writing and signed by authorized representatives. Governing law and dispute resolution terms may be specified below.
