Compensation and Payment

Invoices issued by Publisher are payable within the timelines set forth above. Failure to timely pay shall entitle Publisher to suspend insertions and to charge reasonable collection costs.

Usage Rights and Intellectual Property

Brand grants Publisher a limited, non-exclusive license to reproduce Brand-supplied materials solely for the purposes and duration of the campaign. Publisher grants Brand a limited license to use creative produced by Publisher strictly as set forth in this Agreement.

Compliance and Disclosures

All sponsored content, advertorials, endorsements, and paid placements shall be clearly disclosed in accordance with applicable advertising and consumer protection laws and industry guidelines. Publisher and Brand agree to ensure that all paid placements are labeled conspicuously so that a reasonable consumer can identify the material as advertising.

Exclusivity

Brand may request category exclusivity during the campaign. If exclusivity is granted, Publisher shall not accept or place advertising for competing products or services as defined below during the exclusivity term.

Termination and Kill Fee

This Agreement may be terminated by either party upon prior written notice. Termination rights, required notices, and any applicable kill fees are set forth below.

Representations, Warranties, and Indemnification

Each party represents and warrants that it has the full corporate power and authority to enter into this Agreement, that materials supplied do not infringe third-party rights, and that all statements and claims in advertising materials will be substantiated. Each party shall indemnify, defend, and hold harmless the other party from and against any claims, liabilities, losses, damages, costs, and expenses arising out of the indemnifying party's breach of its representations or of law.

Confidentiality

All non-public information disclosed in connection with the campaign shall be treated as confidential by the receiving party and shall not be disclosed except as required by law or with prior written consent of the disclosing party. Confidentiality obligations survive termination for a period of two years unless otherwise agreed.

Limitation of Liability and Force Majeure

Except for a party's indemnification obligations or breaches of confidentiality, neither party shall be liable for indirect, incidental, consequential, or punitive damages. Neither party shall be liable for delay or failure in performance caused by events beyond its reasonable control, including acts of God, strikes, governmental actions, or technical failures; in such event, performance times will be extended for the period of the delay.

Governing Law and Dispute Resolution

The parties will attempt to resolve disputes in good faith. If unresolved, disputes will be resolved by binding arbitration or litigation as agreed by the parties in the governing jurisdiction indicated above.
