MARKETING MANAGED UTM

This Marketing Managed UTM Agreement ("Agreement") is entered into as of by and between Client Name: whose address is , and Service Provider Name: whose address is .

RECITALS

WHEREAS, Client seeks professional services to design, implement and manage campaign UTM tagging standards, templates, and ongoing tagging maintenance to ensure consistent campaign attribution across marketing channels; and

WHEREAS, Service Provider possesses expertise in marketing analytics, UTM parameter strategy, and campaign tagging governance and is willing to provide such services under the terms of this Agreement; and

WHEREAS, the parties desire a written agreement that sets forth the scope, deliverables, compensation, confidentiality obligations and other material terms governing the Services.

SCOPE OF WORK

Service Provider shall perform the managed UTM services described below. Deliverables include creation and management of UTM taxonomy, tagging templates, campaign tagging, quality assurance, and monthly reporting as specified in this Agreement.

PAYMENT TERMS

Client shall pay Service Provider the fees specified below in consideration for the Services. Fees shall be payable in accordance with the schedule set forth herein.

All fees are exclusive of applicable sales, use, value added or other taxes, which shall be paid by Client. Invoices are due net within the period set in the Billing Schedule. Disputed amounts must be submitted in writing within ten (10) days of invoice receipt; undisputed amounts remain payable.

TERM AND TERMINATION

This Agreement shall commence on and continue until , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure within thirty (30) days following written notice of such breach.

Upon termination, Client shall pay Service Provider for Services performed and expenses incurred through the effective date of termination. Service Provider will deliver any work in progress to Client subject to payment of outstanding invoices.

CONFIDENTIALITY

During the term and for a period of three (3) years thereafter, each party shall hold in confidence and not disclose to third parties any Confidential Information of the other party. "Confidential Information" means non-public business, technical or financial information disclosed in connection with this Agreement, excluding information that (i) was lawfully in the receiving party's possession prior to receipt; (ii) becomes publicly available through no breach; or (iii) is required to be disclosed by law, provided the disclosing party is given prior notice and reasonable assistance to seek a protective order.

The receiving party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but no less than a reasonable degree of care. Confidential Information shall be used only for performance and enforcement of this Agreement.

INTELLECTUAL PROPERTY; DATA

Except as otherwise provided herein, all documentation, templates, and tools created specifically for Client and paid for in full under this Agreement shall be deemed Client deliverables and assigned to Client upon payment. Service Provider retains ownership of pre-existing materials, methodologies, and general knowledge. Client grants Service Provider a limited, non-exclusive license to use campaign metadata solely to perform the Services.

Each party shall comply with applicable data protection laws in connection with any personal data processed under this Agreement. Service Provider shall not use Client data for any purpose other than the performance of Services without Client's prior written consent.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other party from claims arising out of breaches of representations, willful misconduct or negligence. EXCEPT FOR A PARTY'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES. SERVICE PROVIDER'S AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE TOTAL FEES PAID UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to conflict of law principles.

ENTIRE AGREEMENT; AMENDMENTS

This Agreement, including any exhibits attached and written statements of work signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings. Any amendment must be in writing and signed by authorized representatives of each party.

MISCELLANEOUS

The parties are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture or agency relationship. If any provision is found unenforceable, the remainder shall continue in full force. Headings are for convenience only and do not affect interpretation.
