Milestone 1

All payments to Agency/Creator shall be made within the payment term agreed above. Late payments accrue interest at a commercially reasonable rate until paid. Brand/Client shall reimburse reasonable, preapproved out-of-pocket expenses.

Usage Rights & Intellectual Property

License Grant: Agency/Creator hereby grants Brand/Client a non-exclusive, worldwide license to use, reproduce, distribute, publicly display, and create derivative works of Deliverables for the Campaign for the duration set forth below, subject to payment in full and the terms of this Authorization.

Duration: Beginning and ending

Ownership: Except to the extent expressly assigned in writing, Agency/Creator retains ownership of pre-existing intellectual property and underlying tooling. Upon full payment, Agency/Creator assigns to Brand/Client all right, title, and interest in the final Deliverables specifically produced for the Campaign, excluding Agency/Creator's pre-existing materials and independent methodologies.

FTC Disclosure & Compliance

Agency/Creator affirms that any endorsements, sponsored posts, or paid placements will be clearly and conspicuously disclosed in compliance with applicable advertising and consumer protection laws and regulations. Agency/Creator will use a disclosure that accurately communicates the commercial relationship.

Confirmation of Compliance: Agency/Creator will follow the disclosure language and placement requirements for each Channel used.

Termination

Either party may terminate for convenience upon days' prior written notice. Termination for material breach may be immediate if breach is not cured within a commercially reasonable cure period. If Brand/Client terminates for convenience after Agency/Creator has commenced work, Brand/Client shall pay a kill fee equal to:

Representations, Warranties & Indemnity

Agency/Creator represents and warrants that: (a) Deliverables will be original and do not infringe third-party rights; (b) it has full power to grant the rights herein; and (c) it will comply with applicable advertising laws. Brand/Client represents and warrants that brand materials provided do not infringe third-party rights.

Indemnity: Each party agrees to indemnify and hold harmless the other from liabilities, damages, and costs (including reasonable attorney fees) arising from breach of representations, willful misconduct, or unauthorized use of third-party materials.

Confidentiality

Confidential Information exchanged under this Authorization shall be held in confidence for a period of years from disclosure, except as required by law. Confidentiality obligations survive termination.
