Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for material breach is permitted following written notice and a day cure period.

Intellectual Property & Credits

Representations, Warranties & Indemnity

Each party represents and warrants that it has the full right and authority to enter into this Agreement and to grant the rights and perform the obligations set forth herein. Agency / Creator warrants that the Deliverables will not infringe third‑party rights and will comply with all applicable laws. Agency / Creator shall indemnify and hold harmless Brand / Client from and against all claims, losses, damages and expenses (including reasonable attorney fees) arising from a breach of the foregoing warranty, except to the extent caused by Brand / Client's materials or directions.

Confidentiality

Each party will maintain in confidence and not disclose Confidential Information of the other party except as necessary to perform obligations under this Agreement or as required by law. Confidential Information does not include information that is or becomes publicly known through no breach of this Agreement.

Agency / Creator will provide performance reporting on the following cadence:

Force Majeure; Governing Law

Neither party will be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, strikes, pandemics, governmental action or technical interruptions. This Agreement will be governed by the laws of the jurisdiction selected below.
