Indemnification & Liability

Each party will indemnify, defend and hold harmless the other from claims arising out of its breach of representations, infringement of third-party IP rights, and willful misconduct. Except for liability arising from gross negligence or willful misconduct, neither party's aggregate liability shall exceed the total fees paid under this Flowchart for the relevant campaign.
