MARKETING MEDIA GUIDELINES

This Marketing Media Guidelines document (Guidelines) sets forth the technical, creative, legal and operational standards governing the production, publication and permitted use of marketing media created and delivered under the associated Marketing Agreement between the parties identified below.

Deliverables and Specifications

Deliverables shall be produced in accordance with the specifications below. Each deliverable must be accompanied by source files and a metadata sheet listing file names, formats, sizes and usage restrictions.

Compensation & Payment

Usage Rights & Intellectual Property

License Grant: Creator hereby grants Brand a non-exclusive / exclusive (select as applicable) license to use, reproduce, display and distribute the final deliverables in the media, territory and for the duration specified below, subject to payment in full and the restrictions set forth in these Guidelines.




Ownership: Except for Creator pre-existing intellectual property and third-party materials, upon payment in full Brand shall own the final delivered assets as specified in the Marketing Agreement. Creator retains the right to use work in portfolio and self-promotion unless a specific written restriction is agreed.

Creative Approval & Technical Requirements

Technical Requirements: Creator must deliver masters in the formats specified above, include closed captions where required, meet aspect ratio and maximum file size constraints, and supply metadata for paid amplification.

FTC Disclosure & Compliance

Creator represents and warrants that any endorsement or sponsored content will include a clear and conspicuous disclosure of the commercial relationship in compliance with applicable advertising and endorsement standards. Brand may require specific disclosure language for use in deliverables.

Exclusivity, Non-Compete & Conflicts

Exclusivity: If exclusive services are required, specify the exclusive category, territorial scope and duration here. Creator shall disclose existing or prospective brand relationships that would materially conflict with performance.


Termination & Kill Fee

Either party may terminate these Guidelines and related work upon written notice. Termination shall be governed by the termination provisions of the underlying Marketing Agreement. The parties agree that certain non-recoverable costs and time committed by Creator constitute a kill fee as described below.

Representations, Warranties & Indemnity

Creator represents that the content will be original, will not infringe third-party rights, and will comply with applicable laws and platform policies. Brand represents that it has rights to any third-party materials provided. Each party shall indemnify the other for breaches of the foregoing representations and for claims arising from its own negligence or willful misconduct.

Reporting, Measurement & Audit

Confidentiality & Non-Disparagement

The parties agree that confidential information exchanged in performance of the campaign shall be protected consistent with the confidentiality provisions of the Marketing Agreement. Neither party shall make public statements that materially disparage the other.
