Usage Rights, Ownership & License

Agency grants Brand a non-exclusive / exclusive (select below) license to use Campaign deliverables as provided under this Plan. Specify scope, territory and duration below.


Unless otherwise agreed in writing, Brand shall own final campaign assets upon final payment; Agency retains ownership of pre-existing materials, templates and rights in its methodologies. Agency grants Brand a license sufficient for Brand's intended use described above.

FTC Disclosure & Compliance

Both parties represent that all influencer and native advertising content will include clear and conspicuous disclosures required by applicable consumer protection standards and will not be deceptive. Agency shall ensure disclosures are integrated in content captions, creative and media placements where required.

Exclusivity & Conflicts

If Exclusive License is selected, Agency will not perform substantially similar work for direct competitors of Brand in the specified product category during the Term unless otherwise agreed in writing. Define competitor scope below if applicable.

Reporting, Metrics & KPIs

Agency will deliver performance reports indicating agreed KPIs, data sources and measurement methodology. Reporting cadence and key metrics specified below.

Approval Process & Change Orders

Brand will provide approvals or consolidated feedback within the agreed review windows. Change orders that materially alter scope or budget require written approval and will be billed per the Change Order process below.

Termination

Either party may terminate this Media Plan for convenience upon prior written notice. Termination obligations include payment for work performed through the effective date of termination and a kill fee as set forth below.

Representations, Warranties & Indemnity

Each party represents that it has the authority to enter into this Plan and that performance will not violate any agreement or law. Agency warrants that deliverables will not infringe third-party rights. Each party shall indemnify the other for breaches of its representations and for claims arising from its negligence or willful misconduct.

Confidentiality

Both parties agree to keep confidential any non-public business information disclosed in connection with this Media Plan, except as required by law or as permitted by a separate mutual confidentiality agreement.

Miscellaneous

This Media Plan, together with any attachments and accepted change orders, constitutes the complete agreement between the parties with respect to the subject matter. Amendments must be in writing and signed by authorized representatives of both parties.
