Intellectual Property & Ownership

To the extent assignment is required, Agency will assign rights in final deliverables upon full payment.

Confidentiality, Representations & Indemnity

Confidential Information exchanged in connection with this Recommendation shall be held in confidence and used only for campaign execution. Each party represents that it has the authority to enter into this Recommendation and that materials it provides do not infringe third-party rights.

Indemnity: Each party shall indemnify, defend and hold harmless the other from third-party claims arising from its breach of representations, negligent acts, or willful misconduct in connection with the campaign. Limitation of liability shall be as negotiated in the controlling services agreement.
