MARKETING MSA AGREEMENT

Parties

This Marketing Master Services Agreement (the "Agreement") is entered into effective as of (the "Effective Date") by and between:

Recitals and Definitions

Recitals: Brand desires marketing services and Agency has the expertise to provide such services. The parties agree the work performed under this Agreement shall be governed by the terms herein.

Defined Terms: "Campaign" means the marketing program described in the Scope of Services. "Deliverables" means creative assets, copy, video, images, social posts and other items delivered pursuant to this Agreement. "Territory" means the territory specified for licensed use.

Scope of Services

Compensation & Payment

Brand will pay Agency for the Services in accordance with the schedule below. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum lawful rate. Expenses pre-approved in writing will be reimbursed upon submission of substantiating documentation.

Usage Rights & Intellectual Property

Subject to Brand's payment of all amounts due, Agency hereby grants Brand a non-exclusive/non-transferable license (unless otherwise indicated below) to use the Deliverables for the Territory and Duration set forth below. Unless the parties check the assignment box and execute a written assignment, Agency retains ownership of pre-existing materials and backgrounds not created specifically for Brand.

Clearances, Representations & Warranties

Agency represents and warrants that it has the full right to grant the rights herein, that Deliverables will not infringe third party intellectual property or privacy rights, and that all necessary releases and consents have been or will be obtained prior to public use.

FTC Disclosure Compliance

Both parties shall comply with applicable advertising and endorsements rules, including clear disclosure of material connections and sponsorships in any content that could be perceived as consumer endorsements. Agency will ensure required disclosures are conspicuous and conform to applicable standards.

Exclusivity

Unless otherwise agreed in a Statement of Work, Agency shall be free to perform services for other clients. If Brand requires exclusivity for the Territory and Campaign, indicate below and specify scope and duration. Exclusivity, if granted, shall be compensated as set forth in the applicable Statement of Work.

Termination and Kill Fee

Either party may terminate this Agreement for convenience upon prior written notice to the other party. If Brand terminates for convenience prior to completion of a scheduled Deliverable, Brand shall pay a kill fee equal to the lesser of the unbilled portion of the Total Fee and documented costs plus a reasonable allocation for work performed through the termination date.

Confidentiality

The parties agree to keep confidential any proprietary information disclosed in connection with this Agreement for a period of years, except where disclosure is required by law. Confidential information does not include information that is or becomes public through no breach by the receiving party.

Indemnification & Liability

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of the indemnifying party's breach of representations, gross negligence or willful misconduct. Except for indemnity obligations and willful misconduct, neither party's liability shall exceed the amount paid under this Agreement for the specific Services giving rise to the claim.

Insurance

Agency shall maintain commercial general liability, professional liability and other insurance as reasonably required to cover the Services. Upon request, Agency will provide certificates evidencing required coverage.

Independent Contractor; Taxes

Agency is an independent contractor and shall be solely responsible for all taxes, withholdings and benefits. Nothing in this Agreement creates an employment relationship, partnership or joint venture.

Governing Law & Dispute Resolution

This Agreement shall be governed by the laws of the state specified below without regard to conflict of laws principles. The parties will attempt to resolve disputes in good faith prior to initiating litigation; if unresolved, disputes shall be submitted to binding arbitration unless the parties agree otherwise.

Notices

All notices required under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as either party may designate by notice in accordance with this section.

Miscellaneous

This Agreement, together with any Statements of Work and Exhibits executed hereunder, constitutes the entire agreement between the parties with respect to the Services and supersedes all prior agreements and understandings. Amendments must be in writing signed by authorized representatives of both parties.

Deliverables will be deemed accepted if Brand does not provide written notice of rejection within 5 business days of delivery, unless a different approval timeline is specified in the applicable Statement of Work.
