What the Marketing New Products Promotion Agreement Is

The Marketing New Products Promotion Agreement is a written contract that sets the relationship between a product owner (brand or manufacturer) and a marketing provider (agency, influencer, distributor, or channel partner) for launching and promoting a new product in the United States. It defines the scope of promotional activities, deliverables, performance metrics, timelines, compensation and payment milestones, intellectual property ownership and licensing, confidentiality and data handling, compliance with advertising rules, reporting and analytics requirements, termination and remedies, and dispute resolution procedures. The agreement may be executed electronically consistent with ESIGN and applicable state UETA rules.

Why a Clear Promotion Agreement Matters

A clear Marketing New Products Promotion Agreement reduces disputes by documenting scope, deliverables, timelines, and payment terms; protects intellectual property and confidential information; aligns KPIs and approval workflows; and establishes liability, remedies, and reporting expectations for all parties.

  • Marketing and advertising agencies — document creative deliverables, media buys, KPI targets, and approval cycles.
  • Distributors, retailers, and influencers — establish promotional permissions, revenue shares, and compliance responsibilities.
