License Grant: The Agency grants Brand a non-exclusive, transferable (subject to payment in full), worldwide license to use, reproduce, distribute and display the delivered newsletter content for the duration specified below for marketing and promotional purposes permitted under this Agreement.

Ownership of Underlying Materials: Except for third-party materials cleared by the Brand, the Agency retains ownership of pre-existing materials and templates. Brand receives only the rights expressly granted above.

FTC Disclosure & Compliance

The parties acknowledge that any endorsement, sponsored content or promotional material included in newsletters must include a clear and conspicuous disclosure of material connections where required by applicable advertising and consumer protection standards. The Agency will include Brand-provided disclosure language or, if none is provided, use the Brand-approved disclosure that meets applicable standards.

Brand and Agency acknowledge and agree to comply with disclosure requirements for sponsored or paid promotional content included in the newsletters.

Exclusivity

During the active term of this campaign, the Agency shall not produce substantially similar newsletter content for direct competitors of the Brand in the specified product category, except with Brand's prior written consent.

Confidentiality

Each party agrees to maintain in confidence all non-public information marked confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential materials may be used only to perform obligations under this agreement.

Termination

Either party may terminate this agreement upon written notice to the other party. Notice Period: . If Brand terminates without cause prior to delivery of an outstanding issue, Brand shall pay the Kill Fee described above as liquidated damages.

Indemnification & Liability

Each party shall indemnify and hold harmless the other from third-party claims arising out of its breach of representations, willful misconduct, or use of third-party materials not properly licensed. Except for breaches of confidentiality or indemnification obligations, neither party's liability for direct damages shall exceed the total fees paid under this agreement in the preceding six months.
