Compensation and Payment Terms

All sums are payable within days of receipt of invoice, unless otherwise stated. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum allowed by law.

Expenses and Third-Party Costs

Newspaper may incur reasonable third-party costs (photography, specialty printing, inserts) only with Brand's prior written approval when such costs exceed .

Usage Rights and Intellectual Property

Subject to full payment of all fees due hereunder, Newspaper grants Brand a non-exclusive, non-transferable license to use the delivered advertising materials in the Territory and for the Duration set forth below, solely for the purposes described in this Agreement.

Approvals, Edits and Production Materials

Brand shall deliver required copy, logos, creative assets, and approvals within business days of any request. Failure to timely approve may result in rescheduling. Newspaper shall submit proofs for Brand approval prior to publication.

FTC Disclosure Compliance

All advertising and sponsored content shall comply with applicable advertising laws and disclosure standards. Any sponsored content must contain a clear and conspicuous disclosure of the commercial relationship.

Termination and Kill Fee

Either party may terminate this Agreement upon written notice. Termination shall be effective upon receipt of such notice, subject to the following notice and termination fee provisions.

Representations, Warranties, Indemnity and Liability

Each party represents and warrants that it has the authority to enter into this Agreement. Brand warrants that all materials provided do not infringe third party rights. Brand agrees to indemnify and hold Newspaper harmless from claims arising from Brand-provided materials. Newspaper warrants that advertising content published will comply with applicable laws and will indemnify Brand from claims arising from Newspaper's negligent publication. Liability for direct damages shall be limited to the total fees paid under this Agreement; neither party shall be liable for consequential or punitive damages.

Confidentiality and Non-Disclosure
