USAGE RIGHTS & INTELLECTUAL PROPERTY

Ownership and license of work product delivered under this Agreement shall be governed as follows.

Pre-existing intellectual property: each party retains all rights to its pre-existing materials. Client Materials provided to Agency remain Client's sole property.

Deliverables: Unless otherwise agreed in writing, final deliverables created solely for Client under this Agreement will be work made for hire   If not work made for hire, Agency grants Client a license to use the deliverables for the agreed campaign purposes.

FTC DISCLOSURE COMPLIANCE

Agency shall ensure all sponsored content and paid promotions comply with applicable disclosure requirements. Agency represents that any influencer messaging will include clear and conspicuous disclosure of material connections when required.
Agency affirms it will include required disclosures and provide sample disclosure language to Client for approval.

EXCLUSIVITY

Exclusivity: Client requires exclusivity for the product category and territory during the Term. No exclusivity; Agency free to represent other clients, subject to confidentiality and conflict provisions.

CONFIDENTIALITY

Each party will maintain the confidentiality of the other party's confidential information and will not use or disclose such information except as necessary to perform under this Agreement. Confidential information excludes information that is publicly known, independently developed, or rightfully received from a third party.

TERMINATION

Either party may terminate this Agreement for convenience upon written notice to the other party. Termination for cause may occur upon material breach that remains uncured after the notice period set forth below.

WARRANTIES, INDEMNITIES & LIMITATION OF LIABILITY

Agency warrants that its services will be performed in a professional manner consistent with industry standards. Client warrants that Client Materials and instructions do not infringe third-party rights. Each party shall indemnify the other for third-party claims arising from its breach, gross negligence, or willful misconduct. The aggregate liability of either party arising out of this Agreement shall not exceed the total fees paid to Agency under this Agreement in the preceding twelve (12) months; neither party shall be liable for special, incidental, or consequential damages.

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed by the laws of the state of without regard to conflicts of law principles. Parties agree to attempt good faith negotiation prior to initiating litigation; if unresolved, disputes will be resolved by binding arbitration in the agreed jurisdiction unless otherwise mutually agreed in writing.
