Usage Rights & Intellectual Property

License Grant: The Agency grants the Client a non-exclusive, transferrable license to use final delivered content for the purposes described in this Order Form within the Territory and Term described below, subject to full payment and compliance with the obligations set forth herein. For custom work where assignment is elected below, ownership transfers as stated.

Upon full and final payment, Agency assigns to Client all right, title and interest in deliverables created specifically for Client under this Order Form, except pre-existing materials and third-party rights. If checkbox is not selected, Agency grants a license as described above.

Moral Rights: To the extent permitted by law, the Agency hereby waives and agrees not to assert any moral rights in the Deliverables and will obtain waivers from talent where applicable.

FTC Disclosure & Compliance

The Agency represents that all paid endorsements, sponsored posts, native advertising, or influencer content will include clear and conspicuous disclosure of material connection between Brand and Agency in a manner appropriate to the channel and audience. Disclosure language to be used:

Agency certifies that it will comply with disclosure obligations and maintain documentation demonstrating compliance.

Exclusivity

Exclusivity Requested: If checked, the Agency shall not perform promotional services for direct competitors of the Brand within the Exclusivity Period below without prior written consent.

Either party may terminate this Order Form for material breach if such breach is not cured within the Notice Period below after written notice. Notice Period (days):

Kill Fee: If Client terminates for convenience, Client shall pay a kill fee equal to of fees due plus documented, pre-approved expenses incurred through the effective termination date.

Representations, Warranties & Indemnity

Agency warrants that Deliverables will be original, will not infringe third-party rights, and that it has authority to grant rights granted herein. Each party shall indemnify the other for third-party claims arising from its breach of this Order Form, gross negligence, or willful misconduct. Limitation of liability is limited to direct damages capped at the total fees paid under this Order Form.

Change Orders

Any change to scope, schedule, or budget must be documented in a written change order signed by both parties. Standard change order fee: of additional approved budget unless otherwise agreed.

Confidentiality

Neither party shall disclose Confidential Information of the other except to those with a need to know and only under obligations of confidentiality no less protective than those in this Order Form. Confidentiality obligations survive termination for three years unless a longer period is required by law.

Miscellaneous

Governing Law: This Order Form is governed by the laws of the state agreed by the parties and exclusive jurisdiction shall lie in the courts of that state. Any clause held unenforceable shall be reformed to the minimum extent necessary to make it enforceable.

Entire Agreement: This Order Form, together with any attached exhibits and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes prior agreements.
