Recitals

This Marketing Outreach Package (the "Package") sets forth the scope, deliverables, compensation and terms under which the Agency / Creator agrees to perform outreach marketing and content services for the Brand / Client. The parties agree to the terms below and intend for this Package to govern the specific Campaign identified herein.

The Agency / Creator will produce the following deliverables. Each deliverable must meet the specifications stated and be delivered by the corresponding deadline.

Compensation and Payment

Usage Rights and License

Subject to full payment, Agency grants Brand a non-exclusive license to use the final Deliverables as set forth below unless an exclusive engagement is selected. The parties may agree in writing that certain Deliverables are work made for hire.

Exclusive Engagement: Check to indicate Brand requires exclusivity for the agreed-upon category and period. If checked, the parties shall specify the exclusivity scope and any exceptions below.

FTC Disclosure Compliance

Agency / Creator represents that all endorsements, sponsored content and paid placements will comply with applicable disclosure laws and industry guidance. Agency will include clear and conspicuous disclosures in all content where compensation or material connection exists.

Agency confirms it will not materially misrepresent the Brand or the product and will retain documentation demonstrating disclosure placement upon request. Acknowledge compliance:

Termination and Kill Fee

Either party may terminate this Package for convenience upon prior written notice. Termination for cause may occur immediately upon material breach if the breaching party fails to cure within the specified cure period.

Intellectual Property & Ownership

Pre-existing intellectual property remains the property of the originating party. Ownership of newly created Deliverables will be as specified below, subject to payment and license terms.

Confidentiality

Each party shall maintain the confidentiality of non-public business information disclosed in connection with this Package and shall use such information solely for fulfilling obligations hereunder. Confidential information does not include information that becomes public without breach or was independently developed.

Representations, Warranties and Indemnification

Each party represents it has authority to enter this Package and that Deliverables will not infringe third-party rights. Agency shall indemnify Brand against third-party claims arising from Agency-created Deliverables, except to the extent caused by Brand materials or directions. Liability caps and indemnity carve-outs shall be as set forth below.

Insurance

Agency shall maintain insurance appropriate to the services rendered, including general liability and, where applicable, errors and omissions coverage. Evidence of insurance shall be provided upon request.

Notices

All notices shall be in writing and delivered to the contacts listed below. Notice is effective upon delivery by hand, email with confirmation, or certified mail.

Governing Law; Miscellaneous

This Package shall be governed by the laws of the state specified below without regard to conflict-of-law principles. Any dispute shall be resolved in the competent courts of that state unless the parties agree in writing otherwise. This Package constitutes the entire agreement between the parties with respect to the Campaign.

Amendments

Any modification to this Package must be in writing and signed by authorized representatives of both parties. Email confirmations are acceptable only if expressly agreed in writing.

Miscellaneous Provisions

Severability: If any provision is held unenforceable, the remainder will remain in effect. Assignment: Neither party may assign rights under this Package without the other party's prior written consent, except in connection with a merger or sale of substantially all assets.
