5. FTC DISCLOSURE COMPLIANCE

Creator represents and warrants that all paid social and promotional content will include clear and conspicuous disclosure that the content is sponsored, as required by applicable advertising and consumer protection laws. Creator will follow Brand-provided disclosure language and will not obscure or bury the disclosure.

Creator acknowledges and agrees to include required disclosures on each paid post and to provide examples of posted disclosures upon Brand request.

During the Term, Creator shall not promote, post, or endorse any product, brand, or service that is directly competitive with Brand's primary products without Brand's prior written consent. Exceptions and permitted categories, if any, must be identified here:

This Agreement may be terminated for convenience by either party with days’ prior written notice. For material breach, non-breaching party may terminate if breach is not cured within days after written notice.

Each party shall maintain the confidentiality of the other's confidential information disclosed in connection with this Agreement and shall not use such information except to perform obligations under this Agreement. Confidential information does not include information that is publicly known other than through breach of this Agreement.
