MARKETING PAMPHLET PRODUCTION AND DISTRIBUTION AGREEMENT

This Marketing Pamphlet Production and Distribution Agreement (the "Agreement") is made and entered into as of by and between:

Recitals

WHEREAS, Client desires the design, production and limited distribution of a printed marketing pamphlet describing Client's products and services (the "Pamphlet"); and

WHEREAS, Provider is engaged in the business of graphic design, print production and distribution and represents that it has the skill, personnel and resources necessary to perform the services described in this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the design, production, printing and distribution of the Pamphlet.

Scope of Work

Provider shall perform the services described below in a professional manner consistent with industry standards. Deliverables, technical specifications and acceptance criteria are set forth in this Section.

Payment Terms

Client shall pay Provider for the services and deliverables as follows.

Late payments shall incur interest at the rate of % per month (or the maximum lawful rate, if less). Client shall also reimburse Provider for reasonable collection costs, including attorneys' fees.

Term and Termination

The term of this Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice of such breach.

Confidentiality

Each party (the "Receiving Party") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the "Disclosing Party") except as required for performance of this Agreement. "Confidential Information" includes non-public business information, marketing plans, pricing, customer lists, trade secrets, and drafts of the Pamphlet. Confidential Information does not include information that (a) is or becomes generally available to the public other than as a result of a breach of this Agreement, (b) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information, or (c) the Receiving Party is required to disclose by law, provided that the Receiving Party gives prompt notice to the Disclosing Party and cooperates in any lawful effort to limit or contest the disclosure.

Intellectual Property

Subject to Client's payment in full of all fees due under this Agreement, Provider assigns to Client all right, title and interest in and to the final Pamphlet deliverables created specifically for Client hereunder. Provider retains ownership of its pre-existing materials, tools, templates and general skills. Provider shall obtain and retain written licenses for any third-party materials incorporated into the Pamphlet and shall provide copies of such licenses to Client upon request.

Indemnification; Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's breach of its representations, negligence or willful misconduct. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF PROVIDER FOR ANY CLAIM ARISING UNDER OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement; Amendments

This Agreement, together with all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or to a successor by merger or acquisition. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
