MARKETING PANELIST AGREEMENT

4. Rights, License and Ownership

Ownership of Pre-Existing IP: Each party retains ownership of its pre-existing intellectual property. Panelist represents and warrants that Panelist's participation and any materials provided do not infringe third-party rights.

License Grant: Panelist hereby grants Client a perpetual, irrevocable, transferable, sublicensable, worldwide license to use, reproduce, distribute, prepare derivative works of, publicly display and otherwise exploit Panelist's feedback, recorded sessions, submitted materials, statements, name, voice and likeness (Collectively, Deliverables) for commercial and promotional purposes in connection with the Campaign.

5. Confidentiality and Data Handling

Confidential Information means non-public information disclosed by Client to Panelist that is designated as confidential or that reasonably should be understood to be confidential. Panelist will: (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party except as permitted herein; and (c) use it solely for performance of obligations under this Agreement. Confidentiality obligations survive termination for the period specified below.

6. FTC Disclosure and Public Statements

Panelist acknowledges and agrees to comply with all applicable advertising and endorsement disclosure laws and regulations. If Panelist publishes or speaks publicly about the Campaign, Panelist shall make clear and conspicuous disclosure of the material connection to Client when required.
Panelist certifies: I will make required disclosures in accordance with applicable rules.

7. Exclusivity

During the term of this Agreement, Panelist shall not participate in other paid campaigns or provide services to direct competitors of Client with respect to the subject matter of this Campaign if such participation would materially impair Panelist’s ability to perform under this Agreement. If exclusivity is agreed, specify scope and duration below.

8. Term, Termination and Kill Fee

Term: This Agreement commences on the Effective Date and continues until completion of the Campaign unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement upon days' prior written notice to the other party.

Kill Fee: If Client cancels the Campaign without cause after Panelist has materially relied upon or committed to the Engagement, Client will pay a kill fee equal to USD, subject to itemization of expenses and evidence of commitments.

9. Representations, Warranties and Indemnification

Panelist represents and warrants that Panelist has the full right and authority to grant the rights granted under this Agreement and that Panelist's participation will not violate any agreement with third parties. Panelist will indemnify, defend and hold Client harmless from and against any losses arising from breach of such representations or third-party claims arising from Panelist materials.

10. Independent Contractor; Assignment

Relationship: Panelist is an independent contractor and not an employee, partner or agent of Client. Panelist will be responsible for all taxes and benefits relating to Panelist's performance. Neither party may assign this Agreement without the other party’s prior written consent, except that Client may assign to an affiliate or successor in interest.

11. Governing Law and Dispute Resolution

Governing Law: This Agreement will be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.
