What a Marketing Pay Per Call Agreement Covers

A Marketing Pay Per Call Agreement is a contract between a marketer, publisher, or agency and an advertiser that defines how inbound consumer calls are generated, tracked, measured, and compensated. The agreement sets call-tracking parameters, qualifying call criteria, payments per qualified call, lead attribution rules, fraud controls, reporting cadence, and dispute resolution procedures. It establishes responsibilities for maintaining call tracking numbers, caller disclosure requirements, data handling, and any required consent for recording or sharing call content. The document also typically identifies contract term, termination rights, and governing law for enforcement.

Why a Clear Pay Per Call Agreement Matters

A precise agreement aligns expectations on what counts as a billable call, reduces disputes over attribution and fraud, and protects both parties with defined payment triggers and audit rights. It also documents data handling and consent needed for call recording and sharing.

Why a Clear Pay Per Call Agreement Matters

Who typically signs and enforces these agreements

Companies in performance marketing, lead generation publishers, call centers, and advertisers use Pay Per Call Agreements to govern campaign economics and operational rules.

  • Advertiser legal or media-buying teams that control campaign budgets and need defined KPIs and payment terms.
  • Marketing agencies and affiliate networks that manage tracking, campaign optimization, and reporting across publishers.
  • Publishers, lead vendors, and call brokers that supply call volume and must document qualification rules and fraud protections.

Clear role definitions reduce billing disputes and simplify audits; include contact points for campaign operations, finance, and legal to expedite issue resolution.

Typical signer roles

Agency Signer

An agency signatory (media buyer, account director, or general counsel) authorizes campaign terms, approves tracking methodology, and assumes responsibility for payments and reconciliation. They ensure campaigns meet advertiser brand and compliance requirements and coordinate dispute resolution with vendors.

Publisher Signer

A publisher or lead vendor owner signs to confirm they will supply and manage call-tracking assets, honor qualification rules, and cooperate with audits. They warrant data accuracy and accept financial liability for confirmed instances of fraud or invalid calls.

Core clauses to include in a professional agreement

A complete Pay Per Call Agreement groups operational definitions, financial terms, compliance language, and technical requirements so both parties can execute, measure, and enforce campaign performance.

Definitions

Clearly define 'qualified call', 'lead', 'conversion', 'invalid call', and other campaign-specific terms so there is no ambiguity when determining billable events.

Tracking and Attribution

Specify call-tracking provider, number assignment, dynamic insertion rules, session matching, and fallback attribution methods for simultaneous channels.

Payment Terms

State price per qualified call, invoicing frequency, payment window, late fees, and conditions for chargebacks or adjustments tied to audits.

Fraud Controls

List allowed detection methods, thresholds for invalidation, required evidence for chargebacks, and remedies for repeated or intentional fraud.

Data Privacy & Call Recording

Include consent requirements, permitted uses of call audio/transcripts, storage duration, and obligations under HIPAA or other privacy laws when applicable.

Term & Termination

Describe contract length, auto-renewal rules, notice periods for termination, and responsibilities on termination such as final reconciliations and return of assets.

Step-by-step: completing and activating a Pay Per Call campaign

Follow these sequential steps to execute the agreement and begin tracking billable calls.

  • 01
Negotiate Terms: Agree on qualification rules and price per call.
  • 02
Provision Tracking: Assign numbers and configure dynamic routing.
  • 03
Sign Agreement: All authorized parties sign and date the contract.
  • 04
Launch and Monitor: Start campaigns and review initial reports for discrepancies.

Typical online workflow configuration for pay-per-call campaigns

A consistent workflow ensures correct routing, attribution, and automated reconciliation across platforms.

Field Configuration
Number Assignment Dedicated numbers per publisher or dynamic pools per campaign.
Attribution Window Set session and cookie windows for cross-channel matching.
Recording Settings Enable recording where permitted and tag recordings with call IDs.
Reporting Export Schedule CSV or API exports for reconciliation.

How call attribution typically flows

A predictable call attribution sequence reduces mismatch and accelerates payment.

  • User Clicks Ad: Dynamic number insertion assigns tracking number.
  • Call Routed: Call connects to advertiser or call center.
  • Session Matched: Tracking records match call to campaign metadata.
  • Qualify & Bill: Qualified calls are flagged for invoicing.

Technical and platform considerations for e-submission

Confirm that your eSignature and call-tracking platforms support the integrations and security controls required by the agreement.

  • Document Formats: PDF, DOCX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Security: TLS and AES encryption

Using platforms with audit trails, strong authentication, and integration options simplifies reconciliations and preserves evidence needed for disputes or regulatory review.

Key timing and payment deadlines to include

Clearly state invoicing cadence, dispute windows, and cutoff times so both parties have the same expectations about when payments and adjustments occur.

Invoice Frequency:

Monthly invoices are common for ongoing campaigns.

Payment Terms:

Net 30 or Net 45 are typical contractual terms.

Dispute Window:

Allow 30–60 days after invoice for disputes.

Retroactive Adjustments:

Limit to a specific lookback period, e.g., 90 days.

Termination Notice:

Specify notice period, commonly 30 days.

Consequences of errors or missing terms

Payment Disputes: Delays or loss of revenue
Fraud Exposure: Chargebacks and indemnity claims
Regulatory Risk: Privacy fines if recordings violate law
Tax Reporting: Incorrect 1099 treatment
Operational Downtime: Campaign pauses during audits
Contract Voidance: Ambiguous terms risk unenforceability

Common preparation mistakes to avoid

  • Leaving qualification terms vague, which often leads to subjective billing disputes and repeated reconciliation cycles between parties.
  • Failing to specify a single source of truth for tracking data and reconciliation, causing differences between vendor and advertiser reports.
  • Not addressing consent for call recording and data sharing, which can breach federal or state privacy laws and trigger penalties.
  • Omitting fraud detection thresholds and evidence requirements, making it harder to recover funds or prove repeated invalid activity.

Security and compliance elements to include

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Immutable timestamps and IP logging
Regulatory Compliance: ESIGN, UETA, HIPAA (BAA available)
Certifications: SOC 2 Type II and ISO 27001
Authentication: 2FA and advanced signer verification
Accessibility: WCAG 2.0 Level AA support

Practical best practices for reliable campaigns

Adopt consistent operational and contractual habits to minimize disputes and accelerate reconciliation.

Confirm ownership and routing of call-tracking numbers
Document who provisions numbers, which pools are used, and routing logic so attribution is reproducible during audits and prevents cross-account confusion.
Define objective qualification rules with measurable thresholds
Use clear metrics such as minimum call duration, product- or service-specific intent markers, and caller geography to avoid subjectivity when marking billable calls.
Require standardized reporting exports and reconciliation format
Agree on CSV or API export schemas, field names, and reconciliation keys to automate matching and reduce manual adjustments.
Include a clear fraud-evidence protocol and remediation path
Specify the required evidence for invalidation, timelines for chargebacks, and steps for escalations, including thresholds for suspending payments.
