Expenses and Preapproval

Brand will reimburse reasonable, preapproved out-of-pocket expenses incurred by Agency in the performance of services. Expenses in excess of the amount below require Brand's prior written approval.

Usage Rights and Intellectual Property

Agency grants Brand the license set forth below for the Deliverables, subject to full payment of amounts due. Unless otherwise agreed in writing, the parties' rights shall be allocated as follows:

Work Made For Hire / Assignment: Agency acknowledges that to the extent permissible by law, Deliverables will be considered work made for hire. If not recognized as work made for hire, Agency agrees to irrevocably assign all right, title and interest in Deliverables to Brand upon payment in full.

FTC Disclosure and Compliance

Agency warrants that all sponsored content, endorsements, and paid placements will comply with applicable advertising and consumer protection laws and regulations, including clear and conspicuous disclosure of material connections between Agency and Brand.

Agency confirms: Agency will include required disclosures on all promotional posts as applicable.

Exclusivity

During the Campaign Period, Agency shall: (select if exclusive) be restricted from promoting competing products as defined below. If checked, the parties will define competing products and any carve-outs in the field below.

Termination

Either party may terminate this Agreement for convenience upon prior written notice to the other party as set forth below. Termination does not relieve Brand of payment obligations for Services performed and approved Deliverables prior to termination.

Confidentiality

Each party shall maintain the confidentiality of the other party's confidential information using at least the same degree of care as it uses to protect its own confidential information, but no less than reasonable care. Confidential information does not include information that is or becomes publicly known through no breach of this Agreement.

Representations, Warranties, Indemnification & Limitation of Liability

Agency represents and warrants that Deliverables will not infringe third-party intellectual property rights and will comply with all applicable laws. Agency shall indemnify and hold harmless Brand from claims arising out of Agency's breach of these warranties. Except for willful misconduct or gross negligence, neither party's aggregate liability under this Agreement shall exceed the total fees paid by Brand to Agency under this Agreement.

Taxes and Withholding

Agency shall be responsible for all taxes, social security contributions or similar obligations arising out of payments made to Agency, unless otherwise required by law and agreed in writing.

Miscellaneous
