Model Releases & Minors

Creator represents and warrants that, prior to distribution of any image depicting an identifiable person, Creator will secure and retain written releases for all photographed persons. For any minor, a parent or legal guardian release is required.


FTC Disclosure Compliance

Creator shall comply with applicable disclosure laws and guidance when posting or publishing sponsored content, including clear and conspicuous disclosure of the commercial relationship in connection with images and captions.

Exclusivity & Restrictions

During the Term, Creator will not provide substantially similar Santa-themed marketing images for direct competitors of Brand in the Territory without Brand's prior written consent.

Termination

Either party may terminate this Agreement upon written notice. Termination will be subject to the notice period and any applicable kill fee described below.

Representations, Warranties & Indemnity

Each party represents and warrants that it has authority to enter into this Agreement. Creator warrants that images will not infringe third party rights. Creator agrees to indemnify and hold harmless Brand for claims arising from Creator's breach, negligence, or failure to obtain releases.

Insurance & Compliance

Creator will maintain general liability and professional indemnity insurance adequate for the Services and will provide proof of insurance upon request.

Delivery, Acceptance & Schedule

Creator shall deliver final assets via agreed method. Brand shall accept or provide written rejection with itemized issues within the acceptance period.

Confidentiality & Publicity

Both parties agree to keep confidential any non-public business information disclosed. Brand may require Creator to obtain approval of public announcements referencing Brand.

Governing Law & Dispute Resolution

This Agreement is governed by the laws of the specified jurisdiction and disputes shall be resolved as set out below.

Miscellaneous

Entire agreement, amendment, assignment, severability and notice provisions apply as standard: this Agreement is the complete understanding between the parties and may be amended only by written instrument signed by both parties.
