MARKETING PILOT PROGRAM CONTRACT

This Marketing Pilot Program Contract (the "Agreement") is entered into as of by and between:

Additional deliverables and revisions shall be agreed in writing and attached as addenda. All deadlines are subject to timely provision of materials by the Brand.

3. Term

The Pilot will commence on and will terminate on unless earlier terminated in accordance with this Agreement.

4. Compensation and Expenses

All expenses in excess of the pre-approved cap require written approval by the Brand prior to incurrence. Invoices are payable within days of receipt unless otherwise specified.

Subject to full payment of amounts due, Agency hereby grants Brand a non-exclusive, worldwide license to use, reproduce and display the deliverables created for the Pilot for marketing and promotional purposes for a term of unless otherwise agreed in writing.

7. FTC Disclosure and Compliance

Agency represents that all paid or sponsored content will include clear and conspicuous disclosure of the commercial relationship in compliance with applicable advertising and consumer protection laws. Agency will provide draft disclosure language for Brand approval prior to publication.

8. Exclusivity

The Parties agree to the following exclusivity terms for the Pilot period: Exclusive to Brand for the Pilot period

If exclusivity is selected, the Agency will not undertake promotional work for direct competitors of the Brand for the duration of the Pilot within the agreed channels without prior written consent.

9. Termination and Kill Fee

Either Party may terminate this Agreement for convenience upon days' prior written notice. If Brand terminates without cause after work has commenced, Brand shall pay a kill fee equal to USD to compensate Agency for work performed to date.

10. Confidentiality

Each Party shall keep confidential all non-public business information disclosed in connection with the Pilot and shall not disclose such information except to employees or contractors with a need to know and who are bound by confidentiality obligations no less protective than those contained herein.

11. Representations, Warranties and Indemnification

Each Party represents and warrants that it has the full right and authority to enter into this Agreement. Agency warrants that materials created shall be original and shall not infringe third-party rights. Agency shall indemnify, defend and hold Brand harmless from third-party claims arising from Agency's breach of the foregoing warranty. Brand shall indemnify Agency for claims arising from Brand-supplied materials.

12. Limitation of Liability

Except for claims arising from willful misconduct or indemnity obligations, neither Party's aggregate liability under this Agreement shall exceed the total amount paid or payable under this Agreement during the Pilot period.

13. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of without regard to conflict of laws principles. The Parties shall attempt in good faith to resolve disputes by negotiation prior to pursuing litigation.
