What a Marketing POSM Agreement Covers

A Marketing POSM Agreement defines the rights and obligations related to point-of-sale materials provided, installed, or displayed by a vendor, distributor, or retailer for a brand. It allocates responsibility for production, delivery, placement, maintenance, ownership, inventory reconciliation, cost allocation, promotional timing, and end-of-promotion return or disposal. Typical provisions address branding guidelines, retailer policy compliance, repair or replacement processes, liability and indemnity, insurance, and term and termination mechanics. Parties frequently include the brand owner, a merchandising vendor, and the retail operator; electronic execution can simplify distribution and auditability when consent and retention are documented.

Why a Written POSM Agreement Matters

A Marketing POSM Agreement clarifies responsibilities for creation, placement, and costs, reduces disputes over ownership and damage, and sets measurable deadlines and acceptance criteria. Clear terms support compliance with retailer standards and provide a basis for inventory reconciliation and cost recovery.

Why a Written POSM Agreement Matters

Who Typically Uses and Signs This Agreement

Typical users include brand marketing teams, merchandising vendors, retail operations, and third-party installers managing point-of-sale displays and promotional campaigns.

  • Brand marketing: sets creative specs, approves materials, and funds promotions.
  • Merchandising vendors: produce, deliver, install, and maintain POSM per retailer rules.
  • Retail operations: permit placement, confirm compliance, and manage inventory returns.

Defining roles and authority up front reduces delays, supports payment processing, and limits disputes during multi-location promotion cycles.

Practical Tips to Reduce Risk and Delay

Practical tips to reduce disputes, accelerate approvals, and simplify POSM fulfillment across multiple retail partners.

Define clear acceptance criteria and tests
Specify inspection steps on delivery and installation, who performs acceptance, acceptable damage thresholds, and timelines for reporting defects. Clear criteria prevent later disputes and allow prompt corrective action or credit issuance.
Standardize SKUs, labels, and packing lists
Use consistent SKU identifiers and label formats to streamline receiving, stocking, and inventory reconciliation. Require vendors to include packing lists and photographic proof of shipment to expedite acceptance and claims processing.
Confirm insurance and indemnity limits
Verify vendor insurance meets contract minimums for general liability and property damage, and ensure indemnity clauses cover IP and third-party claims. Keep certificates of insurance on file and require notice prior to any policy changes.
Establish written change-order and approval process
Require changes to scope, quantities, or timelines to be documented, approved, and dated. Include cost adjustments, revised delivery windows, and acceptance re-testing where applicable. Follow the contract's amendment clause to ensure enforceability.
