What the Marketing PPC Addendum Is and When It Applies

A Marketing PPC Addendum is a contract amendment that defines pay‑per‑click campaign specifics appended to a master services agreement or marketing contract. It documents campaign scope, budget, billing terms, tracking and reporting requirements, platform permissions, KPI targets, creative ownership, and change controls so both agency and advertiser share clear operational and financial expectations.

Why add a PPC Addendum to your marketing agreement

A focused addendum reduces dispute risk by translating campaign goals into measurable obligations, clarifies billing for ad spend and management fees, and preserves auditability for reporting and compliance.

Why add a PPC Addendum to your marketing agreement

Who typically completes a Marketing PPC Addendum

Agencies, in‑house marketing teams, and client procurement or legal teams commonly prepare and sign a PPC Addendum before campaign launch.

  • Digital marketing agencies that manage paid search and need documented budgets, access and KPIs.
  • Advertisers or brand marketing teams that require performance benchmarks and billing transparency.
  • Legal, procurement, or finance teams that validate indemnities, ownership, and payment terms.

Ensure the signatory has budget authority and the operational contacts listed can grant platform access and make campaign decisions.

Stepwise process to complete and execute the addendum

Follow these sequential steps to ensure the PPC Addendum is complete, authorized, and retained.

  • 01
Draft: Populate fields with campaign scope and budget.
  • 02
Review: Legal and finance confirm terms and billing allocation.
  • 03
Sign: Authorized parties execute electronically or in writing.
  • 04
Distribute: Share fully executed copy with operations and accounting.

Essential clauses to include in a professional PPC Addendum

A concise addendum focuses on measurable obligations and operational permissions. Include clauses that control spend, access, reporting, and ownership to reduce future disputes.

Budget and Spend

Specify total ad budget, allowed overspend tolerance, who pays platform invoices, and whether agency or client manages the payment method.

Scope of Services

Define campaign platforms, targeting parameters, geographic limits, ad formats, and services included such as keyword research, creative, or bid management.

KPIs and Reporting

List primary metrics, reporting cadence, acceptable measurement windows, and the format of reports provided for billing reconciliation.

Access and Credentials

State required account access levels, whether accounts are client‑owned or agency‑managed, and rules for credential transfer at termination.

Creative Ownership

Clarify ownership of ad creatives, rights to reuse assets, and any license terms for third‑party assets used in campaigns.

Termination and Amendments

Include notice periods, final accounting of spent media, and the process for amending budgets or scope mid‑campaign.

Security and compliance reminders for the addendum

Encryption: TLS 1.2/1.3 in transit; AES‑256 at rest
Authentication: Use MFA or strong signer verification
Audit Trail: Capture timestamps, IP, and action history
HIPAA Requirements: Execute BAA if PHI is processed
Legal Frameworks: ESIGN and UETA govern e‑signature validity
Certifications: SOC 2 Type II and ISO 27001 where applicable

Common preparation errors to avoid

  • Leaving budget and invoicing responsibilities ambiguous, which often causes double billing or unpaid platform charges and operational delays.
  • Failing to list required account access and permissions, delaying campaign activation while credentials are exchanged or verified.
  • Vague KPI definitions that omit measurement windows or attribution models, producing disagreements at reporting time.
  • Not specifying amendment procedures for mid‑campaign budget or scope changes, leading to informal approvals and billing disputes.

Consequences of an incorrect or incomplete PPC Addendum

Billing Disputes: Unclear fees can lead to delayed payments and contract disputes
Platform Suspension: Policy violations risk ad account suspension or penalties
Data Access Loss: Missing transfer terms can impede analytics and reporting
Regulatory Exposure: HIPAA or consumer privacy gaps can create compliance risk
Operational Delays: Credential issues delay campaign start or optimization
Contract Breach: Poorly defined deliverables increase litigation risk

  • Prepare Document: Author and attach scope and budget schedules
