Usage Rights & Intellectual Property

License Grant: Agency grants Client a non-exclusive, non-transferable license to use campaign creative and ad copy produced under this Proposal for the purposes described herein for the Term specified below. Client shall not sublicense or assign the license except by written consent of Agency.

Ownership: Client retains ownership of pre-existing trademarks and assets provided to Agency. Agency retains ownership of its pre-existing tools, methodologies, and proprietary optimizations. Upon final payment, creative assets produced specifically for Client will be assigned or licensed as set forth above.

Compliance & Disclosures

FTC Disclosure Compliance: Both parties acknowledge that all sponsored content and paid advertisements shall include disclosures required by applicable advertising and consumer protection laws. Agency will include clear and conspicuous disclosure language in creative where required; Client is responsible for reviewing and approving disclosures prior to live deployment.

Either party may terminate this Proposal upon written notice. Termination will be effective upon expiration of the notice period below unless earlier agreed in writing for cause.

Confidentiality & Non-Solicitation

Confidential Information: Each party agrees to keep confidential all non-public information disclosed in connection with this Proposal and not to use such information except as necessary to perform obligations hereunder. Non-solicitation: During the Term and for 12 months thereafter, Client will not solicit employment of Agency personnel directly responsible for delivery of services without prior written consent.

Warranties, Liability & Indemnification

Agency warrants that services will be performed with commercially reasonable skill and care. Except for gross negligence or willful misconduct, Agency does not warrant specific performance metrics. Each party will indemnify the other against third-party claims arising from its breach of representations, misuse of intellectual property, or negligence. Neither party will be liable for consequential, incidental or punitive damages; liability in aggregate is limited to the total fees paid under this Proposal for the prior 6 months.

Acceptance & Miscellaneous

Entire Agreement: This Proposal, together with any signed SOW or attachments, constitutes the entire agreement between Client and Agency with respect to the subject matter and supersedes prior agreements. Amendments must be in writing and signed by both parties. Governing Law: The laws of the jurisdiction specified below govern disputes arising from this Proposal.
