MARKETING PR CONTRACT

Parties

This Marketing PR Contract (the Agreement) is entered into as of Effective Date: between Client Name: (Client) and Agency Name: (Agency).

Campaign Description

Deliverables & Schedule

The Agency will provide the following deliverables. Each deliverable must be delivered in accordance with the schedule below and approved in writing by Client as provided in Section "Approvals".

Compensation & Payment

Client shall pay Agency the fees set forth below in consideration for Agency's performance. Fees are exclusive of applicable taxes unless otherwise stated.

Usage Rights & Intellectual Property

Subject to full payment by Client, Agency grants Client a non-transferable license to use the Final Deliverables as set forth below. Pre-existing Agency materials and third-party materials remain the property of their respective owners unless otherwise assigned in writing.

FTC Disclosure & Compliance

Agency represents that all public-facing communications and sponsored content will comply with applicable advertising and disclosure laws and regulations. Agency will include clear and conspicuous disclosures of any material connection between Client and Agency or any third-party talent engaged by Agency.

Approvals, Revisions, Reporting

All creative, press materials and outgoing communications require Client approval as set below. Agency will provide drafts and a timeline for each deliverable. Client will provide approvals or requested changes in accordance with the schedule.

Termination & Kill Fee

Either party may terminate this Agreement for convenience upon advance written notice to the other party. Upon termination, Client shall pay Agency for all services performed and non-cancelable commitments made through the effective date of termination and any agreed kill fee.

Confidentiality & Data

Each party will keep confidential the other's proprietary business information disclosed in connection with this Agreement. Confidential information does not include information which is or becomes publicly available without breach of this Agreement.

Representations, Indemnity & Liability

Each party represents and warrants that it has full authority to enter into this Agreement. Agency represents that it will obtain all necessary rights and releases for deliverables. Agency will defend and indemnify Client against third-party claims alleging Agency materials infringe third-party intellectual property rights, except to the extent such claims arise from Client-provided materials or directions.

Force Majeure & Miscellaneous

Neither party will be liable for delays or failures to perform due to causes beyond its reasonable control, including acts of God, governmental action, terrorism, strikes, pandemics, or other force majeure events. This Agreement constitutes the entire agreement between the parties and supersedes prior agreements related to the subject matter herein. Amendments must be in writing and signed by both parties.
