FTC Disclosure Compliance

The parties acknowledge and agree that any paid content, endorsements, or influencer placements will be clearly disclosed in accordance with applicable advertising and endorsements regulations. Agency shall ensure all creators and spokespersons include required disclosures in all applicable posts and placements.

Agency represents that it will obtain and document all required disclosures and deliver them to Client upon request.

Exclusivity

Approvals, Publicity, and Press Releases

All press releases, statements to media, and other public-facing materials referencing the Client shall be subject to Client's prior written approval, which shall not be unreasonably withheld. Client shall provide approvals within the turnaround time set forth below.

Confidentiality

Each party shall keep confidential any non-public information disclosed in connection with this Agreement for a period of following termination, except as required by law.

Termination and Kill Fee

This Agreement may be terminated by either party upon days' written notice. In the event of termination by Client without cause after commencement of work, Client shall pay a kill fee equal to of remaining fees due or as otherwise set forth below.

Representations, Warranties & Indemnification

Each party represents and warrants that it has authority to enter into this Agreement and that performance will not violate third-party rights. Agency agrees to indemnify and hold harmless Client from third-party claims arising from Agency's work except to the extent caused by Client materials or instructions.

Miscellaneous

Assignment: Neither party may assign this Agreement without the other's prior written consent, except to an affiliate or in connection with a sale of substantially all assets. Force majeure events suspend performance for the duration of the event. Amendments must be in writing signed by both parties.
