Both parties acknowledge and agree that all communications and social posts related to this paid engagement must include a clear and conspicuous disclosure indicating the material connection between Brand/Client and Agency/Creator. The Agency/Creator shall include the following disclosure language in all social posts and sponsored placements:

Agency/Creator represents that it will comply with all applicable advertising and disclosure laws and will retain documentation evidencing compliance upon request.

If Brand/Client terminates without cause within seven (7) days of the scheduled release date, Brand/Client agrees to pay a kill fee equal to of the remaining unpaid fees and pre-approved expenses incurred by Agency/Creator.

10. Warranties, Indemnity & Liability

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement and to grant the rights granted herein. Agency/Creator warrants that all materials provided will not infringe third-party intellectual property rights, will be truthful and will comply with applicable law.

Indemnity: Each party shall indemnify, defend and hold harmless the other party from and against claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of breach of representations or willful misconduct.

Limitation of Liability: Except for liability arising from breach of confidentiality or willful misconduct, neither party's aggregate liability shall exceed the total fees paid under this Agreement for the subject press release.
