MARKETING PRODUCT ADDENDUM

This Marketing Product Addendum (the "Addendum") supplements and amends the Marketing Agreement titled executed by the parties on (the "Base Agreement"). Capitalized terms used but not defined in this Addendum have the meanings set forth in the Base Agreement.

Compensation & Product Fulfillment

Risk of loss for products delivered to Agency shall pass upon delivery to the carrier unless otherwise agreed in writing. Brand shall be responsible for reasonable shipping costs unless stated otherwise in the payment schedule.

Usage Rights & Intellectual Property

Brand hereby grants Agency a limited, non-exclusive, non-transferable license to use Brand trademarks, product images, and related materials solely for creation and promotion of the Deliverables under this Addendum, subject to Brand's brand guidelines and prior written approvals. Such license is limited to the Territory: and Term: .

Ownership: Unless otherwise agreed in writing, Agency retains ownership of original creative elements created by Agency, and Brand retains ownership of its pre‑existing IP. Agency grants Brand a perpetual, royalty‑free license to use final Deliverables for Brand marketing and sales purposes unless a different assignment is set forth below.

Exclusivity

Exclusivity Option: Agency shall not promote competing products in the same category during the Exclusivity Period.

FTC Disclosure & Compliance

The Agency shall ensure all sponsored content includes clear and conspicuous disclosure of the Brand relationship in a manner consistent with applicable advertising laws and regulations. All disclosures shall be placed in proximity to the endorsement, be easily readable on mobile and desktop, and use plain language such as "Sponsored" or "Paid partnership with Brand." Brand reserves the right to require specific disclosure language and placement prior to publication.

Approval, Revisions & Acceptance

Brand shall have business days to review and approve or request revisions to submitted Deliverables. Agency shall make requested revisions in good faith. If Brand fails to respond within the approval period, the Deliverable will be deemed approved.

Termination & Kill Fee

Either party may terminate this Addendum upon written notice to the other party if the other party materially breaches and fails to cure within days. If Brand terminates without cause after Agency has commenced work, Brand shall pay a kill fee equal to: .

Representations, Warranties & Indemnification

Each party represents and warrants that it has the right and authority to enter into this Addendum and to grant the rights granted hereunder. Agency represents that Deliverables will be original, will not infringe third party rights, and will comply with applicable laws and platform terms. Agency shall indemnify, defend and hold harmless Brand from and against any third party claims arising from Agency's breach of these representations, except to the extent caused by Brand materials provided in accordance with Brand specifications.

Confidentiality

Confidential Information exchanged in connection with this Addendum shall be protected under the confidentiality provisions of the Base Agreement. If the Base Agreement lacks confidentiality protections, the parties agree to treat product specifications, pricing and campaign strategy as confidential and not disclose to third parties without prior written consent.

Each party shall comply with applicable laws, regulations and platform terms in performing under this Addendum. Upon request, Agency shall maintain and provide proof of general liability insurance covering its promotional activities.

Except as expressly modified by this Addendum, the Base Agreement remains in full force and effect. In the event of any conflict between this Addendum and the Base Agreement, the terms of this Addendum shall control with respect to the product and campaign matters addressed herein.
