License Grant: Agency grants Client a non-exclusive, worldwide, transferable license to use final deliverables for the uses expressly identified herein for the duration stated below, subject to payment in full and any agreed restrictions.

Warranties, Indemnity, and Limitations

Each party represents that it has the authority to enter into this agreement and that materials provided do not infringe third-party rights. Agency warrants deliverables will not knowingly contain infringing content. The parties will indemnify each other for breaches of representations and any third-party claims resulting from their respective acts or omissions. Except for willful misconduct, neither party's liability will exceed the total fees paid under this agreement.
