Representations, Warranties & Indemnity

Agency represents and warrants that it has full right to grant the licenses herein, that the Deliverables will be original and not infringe third-party rights, and that any third-party materials are properly licensed. Agency shall indemnify, defend and hold Client harmless from any third-party claims arising from breach of these warranties, subject to Client's cooperation and mitigation.

Limitation of Liability: Except for willful misconduct or gross negligence, neither party's liability for direct damages under this Agreement shall exceed the total fees paid to Agency under this Agreement during the preceding six months.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party and use such information only for performance under this Agreement. Confidentiality obligations do not apply to information that is publicly known or independently developed.
