WHEREAS, Agency represents that it possesses the expertise, personnel and resources necessary to perform the promotion services and will perform such services in accordance with applicable laws, industry standards and Client's written specifications;

NOW, THEREFORE, the Parties agree to the terms of this Marketing Promotion Notification and any attached scopes as follows.

Payment Terms

Late Payment: Any undisputed amount not received by Agency within days after the due date shall incur a late fee equal to the greater of per month or the maximum permitted by law. Client shall also reimburse Agency for reasonable collection costs.

Term and Termination

Termination for Convenience: Either Party may terminate this Notification upon written notice delivered at least days prior to the intended termination date. Upon termination for convenience, Agency shall be paid for all services performed and non‑cancellable commitments made prior to termination, subject to Client's right to offset amounts for noncompliant or incomplete work.

Termination for Cause: Either Party may terminate immediately upon written notice if the other Party materially breaches this Notification and fails to cure within thirty (30) days after receipt of written notice of such breach.

Confidentiality

Each Party shall keep confidential all non‑public information disclosed by the other Party in connection with the Promotion, including pricing, marketing plans and customer data ("Confidential Information"), and shall not disclose such information to third parties except to its employees, contractors or advisors who need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations shall survive for years following termination or expiration of this Notification.

Intellectual Property and Usage Rights

Client grants Agency a non‑exclusive, non‑transferable license to use Client's trademarks, logos and approved materials solely for the purpose of performing the Promotion as set forth in this Notification. Upon payment in full of the amounts due hereunder, ownership of Agency‑created promotional materials specifically produced for Client shall vest in Client, except that Agency retains a royalty‑free right to use generic templates and methodologies for its own promotional purposes.

Indemnification and Liability

Each Party shall indemnify, defend and hold harmless the other Party from and against any third‑party claims arising out of the indemnifying Party's negligence, willful misconduct or breach of its representations and warranties hereunder. Except for liability arising from gross negligence, willful misconduct or indemnification obligations, neither Party's aggregate liability shall exceed the total fees paid to Agency under this Notification for the Promotion.

Governing Law

This Notification shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement

This Notification, together with any attached schedules and statements of work, constitutes the entire agreement between the Parties with respect to the Promotion, and supersedes all prior or contemporaneous agreements, proposals or understandings, whether written or oral.
