MARKETING PROMOTIONAL AGREEMENT

Usage Rights & Intellectual Property

Subject to full payment, Agency grants Brand a non-exclusive / exclusive license (select below) to use the final Deliverables for the Permitted Uses described herein.

Exclusivity

During the Exclusivity Period, Agency shall not provide substantially similar Promotional Services for direct competitors as defined below unless Brand grants prior written consent.

FTC Disclosure & Compliance

Agency represents and warrants that all promotional content will comply with applicable advertising and disclosure laws and guidance. Agency shall include clear, conspicuous disclosure of its material connection to Brand in each post where required.

Termination; Kill Fee

Either party may terminate this Agreement on written notice. If Brand terminates without cause after Agency has materially commenced work, Brand shall pay a kill fee as set forth below.

Confidentiality

Each party will keep Confidential Information in strict confidence and will not disclose or use such information except as necessary to perform this Agreement. Confidential Information excludes information that is publicly known or rightfully obtained without restriction.

Warranties, Representations & Indemnity

Agency warrants that Deliverables are original and do not infringe third-party rights. Each party shall indemnify the other for losses arising from breach of representations, willful misconduct, or gross negligence. Brand's sole remedies for nonconforming Deliverables are re-performance or refund, at Brand's election.
