Compensation and Expenses

Compliance and Disclosures

Termination and Kill Fee

This Agreement may be terminated by either party for convenience upon prior written notice to the other party. Termination by Brand without cause prior to completion of Deliverables shall be subject to a kill fee as set forth below.

Representations, Warranties, and Indemnity

Each party represents and warrants that it has full right, power and authority to enter into this Agreement and to grant the rights granted herein. Agency represents that Deliverables will not infringe third-party intellectual property rights and will comply with applicable law.

Except for liability arising from gross negligence, willful misconduct or breach of confidentiality or intellectual property obligations, neither party shall be liable to the other for consequential, incidental, special or punitive damages.
