MARKETING PROOFREADER AGREEMENT

This Marketing Proofreader Agreement (the "Agreement") is entered into on the Effective Date set forth below by and between:

Parties

Effective Date:

Engagement and Scope

The Brand engages the Proofreader, and the Proofreader accepts engagement, to provide proofreading and copy-editing services for marketing content described below (the "Services"). The Proofreader will perform the Services as an independent contractor in accordance with the terms of this Agreement.

Deliverables, Timing, and Revisions

The Proofreader will deliver the following items (the "Deliverables"), in the specified formats and by the deadlines set forth below. Deliverables shall meet the acceptance criteria described in this Agreement.

Revisions: The Proofreader will provide rounds of minor proofreading revisions per Deliverable at no additional charge. Substantive re-writes beyond agreed scope are billable at the Proofreader's standard hourly rate of per hour.

Compensation and Expenses

As full compensation for the Services, the Brand will pay the Proofreader the fees set forth below in accordance with the Payment Schedule.

Payment Schedule and Terms: Final payment due within days of invoice. Late payments incur interest at until paid. All fees are exclusive of taxes; taxes shall be the responsibility of the paying party where applicable.

Acceptance and Quality Standards

Acceptance: Deliverables are deemed accepted if the Brand does not provide written rejection specifying deficiencies within business days of delivery. The Brand's approval shall not be unreasonably withheld.

Proofreading Standards and Warranties: The Proofreader warrants that Deliverables will be prepared using commercially reasonable proofreading practices, will not knowingly infringe third-party rights, and will correct spelling, grammar, punctuation, formatting, and clarity as requested within scope. The Proofreader makes no warranty as to performance metrics of marketing campaigns.

Intellectual Property and License

Ownership: Upon full payment, the Proofreader assigns to the Brand all right, title and interest in and to the corrected and edited final Deliverables, including copyrights in the corrected text, subject to the limitations below.

Proofreader Moral Rights and Pre-Existing Materials: The Proofreader retains no moral rights in the edited Deliverables except to the extent non-waivable rights exist under applicable law. The Proofreader retains ownership of any underlying tools, templates, methodologies, or pre-existing materials that are not specific to the Brand's Deliverables but grants the Brand a perpetual, worldwide, royalty-free license to use those portions embedded in the final Deliverables.

Portfolio Use: The Proofreader may retain copies of Deliverables for portfolio and self-promotional purposes only if such use does not disclose Brand confidential information or violate Brand instructions. If the Brand objects, provide reason in writing within days.

FTC Disclosure and Compliance

The Parties acknowledge that marketing materials may be subject to advertising and endorsement disclosure requirements under applicable consumer protection laws. The Proofreader will flag, in writing, any Deliverable that appears to include an endorsement, testimonial, sponsored message, or comparative claim that would require a disclosure. The Brand is responsible for final decisions on disclosures; the Proofreader will, upon request, incorporate Brand-approved disclosure language into the edited text.

I acknowledge my obligation to flag potential disclosure issues and to assist in drafting Brand-approved disclosure language as needed.

Exclusivity

Exclusive Engagement: The Parties agree that: Exclusive engagement for the duration of the Term Non-exclusive engagement. Select one box to indicate the nature of the engagement. If Exclusive is selected, the Proofreader shall not provide substantially similar proofreading services to competitors of the Brand in the same market for the duration specified in this Agreement without Brand's prior written consent.

Termination

Term: This Agreement commences on the Effective Date and continues until completion of the Deliverables unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate with days advance written notice. Upon termination for convenience after Services have commenced, the Brand will pay for work performed through the date of termination plus the agreed Kill Fee specified above.

Termination for Cause: Either party may terminate immediately upon material breach by the other if such breach remains uncured for days after written notice.

Confidentiality

Each party will maintain in confidence all confidential or proprietary information disclosed by the other party in connection with this Agreement and will not use such information except to perform its obligations. Confidential information does not include information that is publicly available or rightfully received from a third party without breach.

Indemnification and Liability

Indemnities: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of that party's breach of this Agreement, negligence, willful misconduct, or infringement of third-party intellectual property rights attributable to that party's actions.

Limitation of Liability: Except for indemnification obligations or liability for willful misconduct, neither party's aggregate liability for claims arising out of this Agreement shall exceed the total fees actually paid to the Proofreader under this Agreement in the six months preceding the claim. Neither party shall be liable for incidental, special, or consequential damages.

Independent Contractor; Taxes

The Proofreader is an independent contractor and is solely responsible for all taxes, withholdings, insurance and other statutory obligations. Nothing in this Agreement creates an employer-employee relationship, joint venture, or partnership.

Miscellaneous

Assignment: Neither party may assign this Agreement without the other party's prior written consent, except that the Brand may assign to an affiliate or purchaser of substantially all of its assets.

Amendment: This Agreement may be amended only by a written instrument signed by both parties.

Entire Agreement: This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior agreements and understandings, whether written or oral.

What a Marketing Proofreader Agreement Covers

A Marketing Proofreader Agreement is a written contract that sets out the scope, deliverables, schedule, payment terms, and quality standards between a client and a proofreader working on marketing materials. It defines responsibilities for copyediting, grammar and style corrections, brand-consistency checks, and allowable rounds of revisions. The agreement also addresses intellectual property assignment or license, confidentiality and data handling, acceptance criteria for completed work, and dispute-resolution procedures. Clear definitions reduce misunderstandings and help enforce payment and performance terms when either party fails to meet obligations.

Why use a formal agreement for proofreading work

A documented agreement clarifies scope, sets expectations for turnaround and revisions, protects confidential marketing assets, and establishes payment and liability limits, making dispute resolution faster and more predictable.

Why use a formal agreement for proofreading work

Who commonly uses this agreement

Typical users include in-house marketing teams, freelance proofreaders, agencies, and legal or compliance reviewers who need a clear contract for editorial services.

  • In-house Marketing Teams — Use to standardize deliverables, timelines, and internal approvals across campaigns.
  • Freelance Proofreaders — Use to define rates, revision limits, and ownership to avoid payment disputes.
  • Marketing Agencies — Use to flow-down client requirements, confidentiality provisions, and acceptance criteria to subcontractors.

Use this agreement whenever proofreading touches brand assets, paid campaigns, regulated claims, or third-party distribution to limit risk and clarify ownership.

Who can sign and represent each party

Marketing Director

Typically signs on behalf of a company where delegated procurement authority exists. They confirm budget approval, scope acceptance, and final acceptance of deliverables according to company procurement rules.

Freelance Proofreader

An independent contractor or sole proprietor who signs to accept scope, payment terms, and IP clauses. If operating under an LLC or business name, use the business legal name on the signature block.

Essential clauses to include in the agreement

A professional Marketing Proofreader Agreement should be concise but include specific operational, legal, and commercial clauses so both parties know obligations and remedies.

Scope of Work

Describe precisely which documents and content types are covered, editing depth (proofreading vs. copyediting), and any excluded services such as substantive rewriting or design layout adjustments.

Deliverables

List file formats, delivery method, accepted word counts or page counts, and the final file to be handed over (e.g., tracked-change Word file plus clean PDF).

Schedule

Specify turnaround for initial proof and each revision round, time zone for deadlines, and remedies for late delivery such as fee adjustments or expedited fees.

Fees and Payment

State per-word or hourly rates, minimum fees, invoicing cadence, payment terms (e.g., Net 30), and late payment interest or collection cost allocation.

Confidentiality

Require protection of nonpublic campaign materials, customer lists, and unreleased creative assets; include permitted disclosures and duration of confidentiality obligations.

Intellectual Property

Clarify whether work-for-hire applies or whether a license is granted; specify assignment language or retained moral rights and any permitted portfolio use.

How to complete and finalize the agreement

Follow these steps to prepare, review, sign, and store a compliant Marketing Proofreader Agreement.

  • 01
Draft the scope: Describe exact tasks and deliverables in plain language.
  • 02
Agree commercial terms: Confirm rates, invoicing, and payment terms before work starts.
  • 03
Include protections: Add confidentiality, IP assignment, and liability limits.
  • 04
Sign and retain: Execute signatures, share final copies, and store securely.

Typical workflow from assignment to final delivery

A clear process reduces rework. The following flow describes how assignments move from request to acceptance.

  • Request: Client sends materials and a brief outlining scope and deadline.
  • Review: Proofreader confirms availability, scope, and estimated timeline.
  • Proofread: Proofreader completes edits and compiles change log or comments.
  • Acceptance: Client reviews changes, requests limited revisions, and accepts final files.

Digital workflow settings to standardize execution

Use consistent workflow settings for notifications, authentication, and expiration when sending agreements or deliverables electronically.

Field Configuration
Notification Settings Email and optional SMS reminders
Authentication Method Email link or SMS code
Signature Order Sequential or parallel as needed
Expiration Default 30-day signature window

Technical considerations for e-signing and file exchange

Ensure signers receive readable copies and an audit trail; confirm retention locations for the executed agreement and final deliverables.

  • File Formats: PDF and DOCX are standard and preserve markup.
  • Integrations: Connect to cloud storage and project tools if needed.
  • Authentication: Use email link or two-factor for stronger attribution.

Common timelines and response expectations

Include clear timeline items in the agreement so both parties understand response windows and turnaround expectations.

Initial Turnaround:

3–5 business days for standard proofreading

Revision Window:

7 calendar days for a single round of client revisions

Payment Due:

Net 30 after invoice date unless otherwise agreed

Delivery Confirmation:

Sender should confirm delivery within 24 hours

Project Expiration:

Unaccepted deliverables expire after the agreed signature window

Key milestones from contract to final acceptance

Sequence major milestones so progress and approvals are easy to track.

01

Common mistakes to avoid when preparing the agreement

  • Leaving scope vague so additional work is later billed as 'extra' and becomes a dispute source.
  • Failing to specify file formats or naming conventions, which can require needless rework and alignment time.
  • Neglecting confidentiality provisions when handling unreleased campaigns or customer data, increasing legal and reputational risk.
  • Omitting acceptance criteria and revision limits, causing ambiguity about when work is 'done' and payment is due.

Consequences of an incomplete or incorrect agreement

Payment Disputes: Loss of timely payment
Confidentiality Breach: Potential reputational harm
IP Ambiguity: Unclear ownership rights
Missed Deadlines: Contractual remedies or fee reduction
Regulatory Exposure: HIPAA violations for health-related materials
Higher Legal Costs: Attorney review or litigation expenses

Security, compliance, and audit items to include

Encryption: TLS in transit; AES-256 at rest
Audit Trail: Maintain signed-event logs
Access Controls: Role-based access for files
BAA Requirement: HIPAA BAA if PHI is present
Retention Policy: Specify storage duration
Authentication: Email link, SMS, or 2FA options

Real-world examples of agreement use

These abbreviated case summaries illustrate how organizations use formal proofreading agreements to protect timelines and IP.

Optica Ventures

Optica Ventures standardized proofreading across teams to reduce rework and missed deadlines.

  • Resulted in clearer deliverable expectations across projects.
  • Brian Fitzgibbons (COO) reported that a consistent contract reduced turnaround confusion and improved handoffs between marketing and external reviewers.

Xerox

Xerox integrated contract terms with NetSuite-based workflows for signature and storage.

  • This ensured legal and operational alignment across systems.
  • Kodi‑Marie Evans (Director of NetSuite Operations) said the integration simplified obtaining the right signatures and storing final files with audit details.

Practical tips for accurate and efficient agreements

Apply consistent procedures to reduce errors and speed approvals when managing proofreading contracts.

Standardize a template
Use a reusable template that includes mandatory clauses (scope, IP, confidentiality) and reduces drafting errors while enabling rapid agreement generation.
Use a style guide
Attach a brand style guide as an exhibit so proofreaders follow consistent spelling, tone, and formatting across marketing assets.
Limit revision rounds
Define a fixed number of revision rounds and a fee structure for additional rounds to avoid scope creep and payment disputes.
Keep audit logs
Preserve signed copies and an execution audit trail showing signer identity, timestamps, and IP address for evidentiary support.
