Termination & Kill Fee

Either party may terminate for convenience upon days' written notice. Termination for material breach is effective immediately upon failure to cure within days after notice.

Kill Fee: If Brand terminates after work has commenced, Brand shall pay Agency for work performed to date plus a kill fee equal to of remaining contract value.

Confidentiality

Each party will treat non-public information of the other party as confidential and will not disclose it except to employees, contractors, or advisors with a need to know. Confidential information does not include information that is or becomes publicly known without breach, or is independently developed.

Warranties, Indemnities & Limitations

Each party represents that it has authority to enter this Proposal. Agency warrants that deliverables will not knowingly infringe third-party rights. Brand shall indemnify Agency for claims arising from Brand-provided materials. Except for willful misconduct, neither party shall be liable for incidental or consequential damages; liability shall be capped at the total fees paid under this Proposal.
